Book excerpt: Las fusiones, adquisiciones y alianzas estratégicas son cada vez más frecuentes en el ámbito de los negocios principalmente porque permiten acceder a más recursos de los que puede poseer una sola empresa. Esta necesidad se incrementa por el actual auge tecnológico y la globalización de los mercados. Mediante los distintos tipos de alianzas que existen, las empresas pueden ampliar su capacidad para crear nuevos productos, reducir costos, incorporar nuevas tecnologías, penetrar nuevos mercados, desplazar a la competencia, sobrevivir a un mercado mundial y generar inversiones para nuevos desarrollos (Lewis, 1998). En las últimas décadas, operaciones de consolidación, como las fusiones y adquisiciones (FyA), se han convertido en importantes estrategias para las compañías al fortalecer su presencia en los mercados globales. La manera de realizarlas ha mostrado una evolución significativa desde hace años. La identificación de diversos tópicos como los procesos de negocio, la cultura organizacional y las tecnologías de información ha sido fundamental para asegurar el éxito (Picot, 2002). Sin embargo y a pesar de su transformación, la mayor parte de ellas no logra alcanzar sus objetivos iniciales. Esto se debe al impacto de diversos tópicos no detectados en el transcurso de la transacción y al gran número de factores que intervienen en el proceso. Por ello, las partes involucradas han tenido la necesidad de incrementar su grado de sofisticación para realizarlas (Picot, 2002). Las FyA que tienen éxito se sustentan, entre otras cosas, en el conocimiento holístico de la empresa a adquirir y en la ventaja que proporciona la experiencia de identificar los diversos conflictos, inevitables en este tipo de operaciones (Bruner, 2004). En base a un estudio sobre las FyA más representativas a nivel mundial entre 1999 y 2004, las características más acentuadas fueron mayor complejidad y riesgo, mayor enfoque en el incremento de valor y presión para demostrar la creación de valor en cada transacción, así como el riesgo de credibilidad debido a un mercado más informado (Sánchez, 2005). De acuerdo con KPMG, durante 2005, el escenario empresarial mexicano contó con 78 operaciones de FyA, atrayendo el 25% del valor total de las operaciones en América Latina (AL). Los sectores más activos de acuerdo al monto de la operación fueron construcción, acero y minería. México se posesionó como el país predilecto en AL para inversiones en ese año. De acuerdo a lo anterior, la investigación denota la importancia de estas actividades en México y la identificación de aspectos fundamentales para el éxito de la transacción (Pedrero, 2005).
