Book excerpt: Motivated by the relationship between foreign ownership and firm-level performances in emerging countries, we select Vietnam's listed market as the context for this empirical setting. We find that there is a significant inverted U shaped relationship between foreign ownership and firm performances. The non-monotonic relationship is consistent with corporate governance theory on the gains from monitoring effects by shareholders or the losses from expropriations when their ownership exceeds a certain large level. Furthermore, we find that foreign investors disfavor firms with high concentration of ownership that relates to image of weak corporate governance. Lastly, there are also evidences that foreign investors are likely to invest in firms with good financial performances, large size, low level of debts, in pharmaceutical industry, and listed in higher liquid stock exchange.

Book excerpt: The purpose of the book is to extend and develop the literature on foreign direct investment (FDI) and multinational corporation (MNCs) subsidiaries. There are several reasons for studying foreign investment and ownership. First, firms need to identify which host country industry factors are important in choosing among the various type of equity ownership (e.g. international joint ventures or wholly-owned subsidiary). Second, international diversification through foreign market entry can provide growth and profitability at rates unavailable in home markets. A third reason this warrants some attention is that type of ownership can affect attempts to counter international competition by engaging foreign rivals on their home turf. Fourth, firms have the option of choosing the appropriate equity ownership for international markets based on balancing their resources, capabilities, and international experience with their desire for ownership and control. This book extends the literature in FDI by providing empirical support for several theories and previously defined and/or tested constructs. For example, the parent and subsidiary's factors measured in this study suggest the importance of internalization and ownership advantages of Dunning's eclectic theory.

Book excerpt: Foreign direct investment (FDI) flows are frequently credited with a wide range of benefits for recipient economies. This research investigates the impact mechanics of FDI by mapping the extent to which firms are owned by foreigners against their performance. Firms in both developed and developing countries are included in the study and the performance indicators used are growth in sales, employment and labour productivity. Based on data from more than 80,000 firms during the period 2010 to 2019, this research is unique because it compares the performance of foreign-owned and domestic firms of different sizes. While the preliminary results show foreign ownership overall does give firms an edge on performance, there is no consistent evidence that this is so by firm size. However, across all developing regions, the study consistently finds that foreign ownership has a positive impact on the sales and productivity growth of micro-size firms. This calls for more research on and policy experimentation with outward-oriented and innovative start-ups.

We find that, although foreign group subsidiaries report higher sales turnover than subsidiaries of local groups, they lose their sales advantage at the operating income level. Additionally, the empirical evidence reveals that the cause for this loss has to do with the higher wages that foreign group subsidiaries allegedly pay to their employees, since, when the wages expense is excluded from the profit-related measures and CFOs, firms under foreign control have higher financial performance than those controlled by local groups. We also test whether the productivity level in the parent company's home country, compared to that in Spain, has an effect on the relation investigated. Results suggest that when FDI comes from a country with productivity levels higher than Spain the negative association between foreign shareholding and firm performance is mitigated.

The results reveal that in an emerging market like Vietnam, foreign ownership cannot play a monitoring role in corporate governance mechanism because it is not concentrated. The outcome also shows that foreign investors suffer from asymmetric information, and then tend to increase debt for mitigating agency problem. For controlling simultaneity and endogenous issues, fixed effect method and simultaneous equation model are employed.

Book excerpt: This paper examines the recent upsurge in foreign acquisitions of U.S. firms, specifically focusing on acquisitions made by firms located in emerging markets. Neoclassical theory predicts that, on net, capital should flow from countries that are capital-abundant to countries that are capital-scarce. Yet increasingly emerging market firms are acquiring assets in developed countries. Using transaction-specific acquisition data and firm-level accounting data we evaluate the post-acquisition performance of publicly traded U.S. firms that have been acquired by firms from emerging markets over the period 1980-2007. Our empirical methodology uses a difference-in-differences approach combined with propensity score matching to create an appropriate control group of non-acquired firms. The results suggest that emerging country acquirers tend to choose U.S. targets that are larger in size (measured as sales, total assets and employment), relative to matched non-acquired U.S. firms before the acquisition year. In the years following the acquisition, sales and employment decline while profitability rises, suggesting significant restructuring of the target firms.
