Toutefois, un système équilibré ne peut être dégagé seulement si, les moyens de la mise en œuvre (Action pro socio, class action, prescription) et la possibilité d’une limitation de la responsabilité civile sont pris en compte (cf. deuxième partie de l’étude). L’étude montre que la limitation de la responsabilité peut se faire autant a priori (par le contrôle des actionnaires au moment de l’assemblée générale, des administrateurs indépendants ou les commissaires aux comptes) qu’a posteriori (par ex. par une assurance D&O ou le plafonnement de la responsabilité civile).
