Le développement de l'économie tertiaire suppose néanmoins de prendre en considération la contribution économique de l'apport en industrie. L'associé n'est pas uniquement celui qui apporte des biens ou du numéraire. L'apport en industrie occupe une place économique prépondérante sans que cela se traduise par l'égalité de son régime juridique avec l'apport en nature. Désormais, les conditions du rapprochement de la notion économique et juridique de l'apport sont réunies. Si l'apport en nature se définit de façon classique au regard de la notion de bien, celui-ci peut néanmoins se concevoir au travers de la mise à disposition d'une valeur. La classification actuelle des apports en société (numéraire, nature, industrie) reflète un attachement dépassé aux fonctions de garantie du capital social qui ne semble plus adapté. La théorie des apports laisse place à une théorie de l'apport, fondée sur un critère économique.
