Book excerpt: The effect of corporate governance failure and agency behaviour on stock market prices has long been of great interest to financial economists, behavioural scientists and capital market researchers. Yet there is to date no consensus over what constitutes an effective governance mechanism that induces agents or managers to consistently act in the interest of share value optimization, neither is there a consensus on the immediate effect of corporate governance failures on stock market prices. In this research study, an in-depth investigation of the announcement effect of corporate governance failures of some highly rated Nigerian commercial/deposit money banks, publicly announced by the Central Bank of Nigeria, is undertaken. To this end a sample of seven highly rated conventional deposit money banks in Nigeria, whose chief executive officers (along with other top management staff and executive directors) were sacked by the Central Bank of Nigeria (CBN) for committing corporate governance malfeasance; against the CBN code of corporate governance were identified and examined. Using event study methodology, the mean abnormal returns and cumulative mean abnormal returns for the seven banks ranging from thirty seven (37) days before and after the announcement date were determined. Empirical results from our findings indicate that the stock market is informationally efficient in Nigeria and that investors do react to announcement of corporate governance failure. The study therefore recommends the strengthening and strict enforcement of corporate governance codes in Nigerian banks.

Book excerpt: The theoretical obligation of the managers in the agency theory is to safeguard the interest of the shareholders, and this study is targeted at investigating the impact of corporate governance on the performance of nine selected banks in Nigeria. The study performs a pooled Ordinary Least Square (OLS) regression analysis of the data from 2006 to 2010. The findings suggest that both size of the board and its ownership structure have positive significant effects on the Return on Equity (ROE). However, the influence of governance indicator on the assets of the companies is significantly negative. Further, the board composition is found to be insignificant as a predictor of profitability measures. The regulatory influence and economic conditioning factors also show no significant effect on Return on Assets (ROA) as well as ROE, suggesting that the banks have developed the ability to absorb or conceal domestic shocks in the economy. The results generally support the hypothesized fact that the banking industry suffers from asset management and poor governance malaise. The study recommends that the regulatory authorities, including the Asset Management Company of Nigeria, be involved in the screening and monitoring of debt assets beyond the current salvage practice.

It has compelled many financial and non-financial regulators in Nigeria such as the Central Bank of Nigeria and the Securities and Exchange Commission to revise the codes of best practices for banks and other public companies overtime with a new single code of corporate governance [the national code of corporate governance] set to be released by the Financial Reporting Council of Nigeria.This paper makes a contribution to the existing literature on the state of corporate governance development in the Nigerian banking and non-banking sector, the impacts of the banking regulations and the efforts put in place at ensuring that banks are well governed. It also addresses the issue of compliance, disclosure and harmonisation of codes in Nigeria. It argues that while standards and codes are being enacted and revised by the CBN, the SEC and now FRCN, there is greater need for the Nigerian internal and external environments (such as the socio-political, economic and cultural systems) to support the reforms. There is also need for better enforcement, a renewed transparency and total compliance to the spirit and letter of the code in Nigeria.

Typically, in public corporations directors are elected by shareholders to manage the affairs of the corporate on their behalf; which by implications imposes on the directors fiduciary responsibilities. A person with fiduciary duty is a person entrusted with the power or property with the understanding that the person is working for the benefit of the individual(s) who may have entrusted them with such responsibilities – therefore directors have fiduciary responsibilities to work in the best interest of shareholders and for the benefit of shareholders not in the interest of some other people or their individual interest. From all indications, the current global financial crises have revealed severe shortcoming in corporate governance across the global, there seems to be a common factor, an apparent lack of checks and balances needed by companies in order to cultivate sound business ethics bringing about the concern for improved corporate governance across all continents, this provides the needed motivation for this study. In Nigeria; for instance several public companies including local subsidiaries of western multinational companies have been criticized for various degrees of unethical practices. The case of Cadbury Nigeria PLC referred to as ‘Deliberate breaches of accounting system and controls’, are only a tip of the ice berg in Nigeria, a country that has for many years been sapped by widespread corruption. The choice of Cadbury Nigeria Plc for this study is because of their strategic importance as industrial giant in Nigeria that are presumed to be well established and respected for decades. Book excerpt: This study evaluated the Impact of Corporate Governance on Firms Financial Performance in Nigeria Quoted Banks in order to determine the Banks Financial Performance before and after the introduction of Code of Corporate Governance in Nigeria. The main objective of this study is to evaluate Board Composition with a view to determining its impact on Firms Financial Performance. Board Composition was used as measure of Corporate Governance while Return on Capital Employed (ROCE), was used to operationalise Financial Performance. The study is anchored on Shareholders theory. The Population of this study comprised fifteen (15) banks whose shares are quoted on Nigeria Stock Exchange. Judgmental sampling technique was used to select seven (7) banks from the entire Population of the study (which makes up the sample size). Data were obtained from secondary source (published financial statements of the selected quoted banks) covering the periods of 2003-2014. The method of data analysis utilised was Ordinary Least Squares Regression Analysis. A model was formulated. The findings from this study showed that Board composition has a negative, though insignificant impacts on ROCE during the 2003-2008 period (p1) and during the 2009-2014 period (p2). In conclusion, the way in which corporate governance is organised differs among countries, depending on the economic, political and social contexts. We therefore recommend that the directors of board should adhere to CBN regulations and guidelines in bank management, with this, they can achieve their aim and shareholders confidence will be restored, on the board.

Whilst the proxy for the dependent variable employed was earnings per share since regression only depicts the relationship that exist between two variables (x and y). This study made use of secondary data obtained from the financial reports of five (5) banks for a period of eight (8) years (2005-2012). Secondary data was analysed using Regression while chi-square was used to analyse the primary data from bank operators through administered questionnaire. The results generated were found to be similar to that of other previous scholars who have carried out a research on the issue of corporate governance and banks profitability. This study makes a significant contribution to research by exposing the importance of corporate governance in the Nigerian Banking System. The study supported the hypothesis that corporate governance positively affects not only stakeholders but also efficient bank management.
