Book excerpt: The takeover boom that began in the mid-1980s has exhibited many phenomena not previously observed, such as hostile takeovers and takeover defenses, a widespread use of cash as a means of payment for targeted firms, and the acquisitions of companies ranking among the largest in the country. With the aim of more fully understanding the implications of such occurances, contributors to this volume consider a broad range of issues as they analyze mergers and acquisitions and study the takeoveer process itself.

Book excerpt: The United Nations has declared 2012 to be the International Year of Co-operatives in recognition of the impact that co-operative enterprise has on more than three billion people across the globe. Co-operatives contribute to national and local economies in virtually every country by championing an ethical approach to business underpinned by internationally agreed values and principles. Yet despite the wide-ranging successes of co-operatives, in financial terms as well as in the development of sustainable communities, the study of these democratic forms of enterprise remains surprisingly absent from the curricula of most university business schools around the world. Designed primarily for undergraduate students, Democratic Enterprise provides an introductory-level analysis of democratic models of enterprise, namely co-operatives and employee-owned businesses. A supplement to any course that deals with these topics, it also stands alone as a template for academics who wish to incorporate material on democratic models of enterprise into courses relating to economics, business studies, sustainable development, enterprise, and organizational theory and behavior.

Available in PDF, EPUB and Kindle. Book excerpt: The investor-owned corporation is the conventional form for structuring large-scale enterprise in market economies. But it is not the only one. Even in the United States, noncapitalist firms play a vital role in many sectors. Employee-owned firms have long been prominent in the service professions--law, accounting, investment banking, medicine--and are becoming increasingly important in other industries. The buyout of United Airlines by its employees is the most conspicuous recent instance. Farmer-owned produce cooperatives dominate the market for most basic agricultural commodities. Consumer-owned utilities provide electricity to one out of eight households. Key firms such as MasterCard, Associated Press, and Ace Hardware are service and supply cooperatives owned by local businesses. Occupant-owned condominiums and cooperatives are rapidly displacing investor-owned rental housing. Mutual companies owned by their policyholders sell half of all life insurance and one-quarter of all property and liability insurance. And nonprofit firms, which have no owners at all, account for 90 percent of all nongovernmental schools and colleges, two-thirds of all hospitals, half of all day-care centers, and one-quarter of all nursing homes. Henry Hansmann explores the reasons for this diverse pattern of ownership. He explains why different industries and different national economies exhibit different distributions of ownership forms. The key to the success of a particular form, he shows, depends on the balance between the costs of contracting in the market and the costs of ownership. And he examines how this balance is affected by history and by the legal and regulatory framework within which firms are organized. With noncapitalist firms now playing an expanding role in the former socialist countries of Eastern Europe and Asia as well as in the developed market economies of the West, The Ownership of Enterprise will be an important book for business people, policymakers, and scholars.

Available in PDF, EPUB and Kindle. Book excerpt: Employee Ownership Through ESOPs: Implications for the Public Corporation summarizes the large body of literature on employee stock ownership plans (ESOPs) and the phenomenon of employee ownership. The author has discovered and reviewed over 700 articles on the subject in academic and professional journals of business, labor, law, and social science since 1973. The study is divided into four parts. The first part examines law, public policy, and regulation; the status of ESOPs in the publicly held corporation; corporate uses and labor-management roles; the impact of the ESOP on labor-management cooperation and the economic performance of firms; and the future of employee ownership. The second part presents selected case studies which illustrate the range of corporate uses and benefits to workers and the difficult issues these raise. The third part presents abstracts of articles or books that are central to understanding the major findings and implications of employee ownership and gaining an ordered introduction to the field. The fourth part includes references to these abstracted materials and to the subjects discussed in the first and second sections. This study emphasizes the significance of employee ownership to corporate officers, middle managers, union officials, and/or local labor representatives and employee leaders who are associated with a publicly held company.

Available in PDF, EPUB and Kindle. Book excerpt: Using data from an extensive study of employee-owned companies in Ohio, where employee ownership is a well-developed trend, this book offers a strong empirical portrait of firms with Employee Stock Ownership Plans (ESOPs). It describes how these plans work and places their emergence and change in a historical context. John Logue and Jacquelyn Yates examine firms that have succeeded in employee ownership and those with failed plans. Some companies, they find, are committed to the concept of employee ownership, and others merely use ESOPs as a financing tool.Detailed information resulting from multiple surveys allows the authors to draw well-grounded conclusions regarding the question of why some employee-owned firms outperform others. The bottom line, they find, is that employee-owned firms that "do it all," implementing features such as employee participation and communication about finances, training, and cultural change, systematically outperform their conventional competitors. They also have an advantage over firms that understand employee ownership incompletely, if it all, and yet claim to adopt its methods.

Available in PDF, EPUB and Kindle. Book excerpt: Human capital and organizational capital are increasingly important as a source of value in many firms. But even as this is happening, organizational forms and employment relationships appear to be changing in ways that reduce loyalty and commitment and encourage mobility on the part of employees. Are these changes consistent in ways that contradict traditional theory and wisdom, or is the corporate sector getting a temporary boost in earnings by restructuring and cutting payrolls; but failing to make necessary new investments in human capital? The essays in this book provide intriguing new evidence on these questions. The contributors quantify the degree to which job stability is declining, and the costs of job loss to long-term workers; provide historical perspective on today's workplace changes; explore the reasons why work is being reorganized and decisionmaking tasks are being pushed downward; examine the rationale for and effect of equity-based compensation systems, both in old industries and in the newest high-tech sectors; and assess the "state of the art" of measuring and accounting for investments in human capital. This book is the result of a joint Brookings-MIT conference. In addition to the editors, authors include Eileen Appelbaum, Laurie Bassi, Avner Ben-Ner, Peter Berg, Joseph Blasi, Timothy Bresnahan, Eric Brynjolfsson, Allen Burns, Peter Cappelli, Greg Dow, Lorin Hitt, Douglas Kruse, Baruch Lev, Julia Liebeskind, Jonathon Low, Daniel McMurrer, Louis Putterman, Charles Schultze, and Anthony Siesfeld.
