Available in PDF, EPUB and Kindle. Book excerpt: This book discusses the tasks and functions of corporate governance in the light of current challenges and the dynamics that arise from a broader approach to company management and the integration of corporate governance with corporate social responsibility (CSR) and sustainability. Addressing the corporate governance shortcomings that are believed to have contributed to the recent financial crisis, it explores the interplay between corporate governance and CSR, and includes examples of company practice to show how such changes affect the practices of shareholders, boards of directors and regulators. In particular, the book examines shareholders’ activities, their different investment strategies, specific reporting expectations and the submission of proposals to the annual meeting. Further, for boards of directors it explores the need to revise their tasks with respect to the criteria for executive appointments, their corporate strategy, performance measures and diversity recommendations, while for directors it provides recommendations to reconsider the structure of executive pay and performance incentives. Lastly, for regulators the book investigates the need to introduce new laws addressing, for instance, the need for integrated reporting, limiting the voice of short term oriented shareholders and providing guidelines for executive compensation.

Available in PDF, EPUB and Kindle. Book excerpt: Going far beyond previous empirical work, John Kotter and James Heskett provide the first comprehensive critical analysis of how the "culture" of a corporation powerfully influences its economic performance, for better or for worse. Through painstaking research at such firms as Hewlett-Packard, Xerox, ICI, Nissan, and First Chicago, as well as a quantitative study of the relationship between culture and performance in more than 200 companies, the authors describe how shared values and unwritten rules can profoundly enhance economic success or, conversely, lead to failure to adapt to changing markets and environments. With penetrating insight, Kotter and Heskett trace the roots of both healthy and unhealthy cultures, demonstrating how easily the latter emerge, especially in firms which have experienced much past success. Challenging the widely held belief that "strong" corporate cultures create excellent business performance, Kotter and Heskett show that while many shared values and institutionalized practices can promote good performances in some instances, those cultures can also be characterized by arrogance, inward focus, and bureaucracy -- features that undermine an organization's ability to adapt to change. They also show that even "contextually or strategically appropriate" cultures -- ones that fit a firm's strategy and business context -- will not promote excellent performance over long periods of time unless they facilitate the adoption of strategies and practices that continuously respond to changing markets and new competitive environments. Fundamental to the process of reversing unhealthy cultures and making them more adaptive, the authors assert, is effective leadership. At the heart of this groundbreaking book, Kotter and Heskett describe how executives in ten corporations established new visions, aligned and motivated their managers to provide leadership to serve their customers, employees, and stockholders, and thus created more externally focused and responsive cultures.

Book excerpt: This thesis characterizes how a mergers profitability and efficiency are affected by its size and by its scale economy factor d in a Cournot market with linear demand and quadratic costs. Our results allow us to challenge the widely believed view among economists that mergers typically are not profitable for the insiders (merged firms). In contrast to the minimum of 80% pre-merger market share required for the insiders to be profitable in Salant, Switzer and Reynolds (1983), our model shows that mergers with much less market share are also profitable. It is worth noting that in the market with diseconomies of scale (i.e., d>0), any two-firm merger could be profitable as long as its scale economy factor is greater than the critical value which is solely determined by the market size n. Our results also allow us to provide useful implications for antitrust laws especially the horizontal merger policy. In our model, mergers with economies of scale (i.e., d>-2 and d

Book excerpt: March 1998 Differences in interest margins reflect differences in bank characteristics, macroeconomic conditions, existing financial structure and taxation, regulation, and other institutional factors. Using bank data for 80 countries for 1988-95, Demirgüç-Kunt and Huizinga show that differences in interest margins and bank profitability reflect various determinants: * Bank characteristics. * Macroeconomic conditions. * Explicit and implicit bank taxes. * Regulation of deposit insurance. * General financial structure. * Several underlying legal and institutional indicators. Controlling for differences in bank activity, leverage, and the macroeconomic environment, they find (among other things) that: * Banks in countries with a more competitive banking sector-where banking assets constitute a larger share of GDP-have smaller margins and are less profitable. The bank concentration ratio also affects bank profitability; larger banks tend to have higher margins. * Well-capitalized banks have higher net interest margins and are more profitable. This is consistent with the fact that banks with higher capital ratios have a lower cost of funding because of lower prospective bankruptcy costs. * Differences in a bank's activity mix affect spread and profitability. Banks with relatively high noninterest-earning assets are less profitable. Also, banks that rely largely on deposits for their funding are less profitable, as deposits require more branching and other expenses. Similarly, variations in overhead and other operating costs are reflected in variations in bank interest margins, as banks pass their operating costs (including the corporate tax burden) on to their depositors and lenders. * In developing countries foreign banks have greater margins and profits than domestic banks. In industrial countries, the opposite is true. * Macroeconomic factors also explain variation in interest margins. Inflation is associated with higher realized interest margins and greater profitability. Inflation brings higher costs-more transactions and generally more extensive branch networks-and also more income from bank float. Bank income increases more with inflation than bank costs do. * There is evidence that the corporate tax burden is fully passed on to bank customers in poor and rich countries alike. * Legal and institutional differences matter. Indicators of better contract enforcement, efficiency in the legal system, and lack of corruption are associated with lower realized interest margins and lower profitability. This paper-a product of the Development Research Group-is part of a larger effort in the group to study bank efficiency.

Book excerpt: In this study an attempt has been made to create a link between corporate governance, intellectual capital efficiency and firm performance. The sample is BSE SENSEX firms from the year 2013 to 2015. Data has been collected from PROWESS database of Centre for Monitoring Indian Economy (CMIE). Intellectual capital efficiency has been estimated using VAIC (value added intellectual capital) methodology. Previous research suggests measuring intellectual capital through the Market to book ratio and Tobin Q ratio. In the current study an attempt has been made to measure the intellectual capital efficiency through VAIC method which derives interesting insights. The results show that corporate governance affects a firm's intellectual capital efficiency i.e. if a firm has good corporate governance system in place, it will attract efficient human capital for the firm and in turn a firm's profitability will increase over a period of time. Among the corporate governance variables, BSH (block shareholding), CEO duality (if the CEO and the chairman of the firm) and board size seem to have a significant impact on a firm's operational and financial performance measured by return on assets and return on equity respectively. The results pertaining to the effect of intellectual capital efficiency on firm performance show that capital employed efficiency (CEE) and human capital efficiency (HCE) have a significant impact on a firm's return on equity. The study supports stewardship theory of corporate governance.
