Partindo da compreensão da atividade comercial e do objeto do Direito Mercantil, o manual enquadra a matéria no Mercado concorrencial onde intervêm os respetivos sujeitos, analisa as situações de exploração económica em regime, aparentemente paradoxal, de monopólio dos direitos privativos da propriedade industrial (em especial das invenções e das marcas), estuda realidades fundamentais como a empresa e o estabelecimento, onde se exerce a atividade mercantil, os sujeitos do lado da oferta (empresário individual, sociedades comerciais e outras pessoas coletivas) e da procura (os consumidores) e o regime jurídico que os caracteriza, incluindo as situações de incumprimento que comprometem a sua subsistência (como a insolvência), a publicidade a que se encontram sujeitos e a supervisão externa das atividades no mercado e o foro apropriado para conhecer dos seus litígios. Em seguida, num capítulo igualmente amplo, são analisados contratos comerciais e bancários selecionados, pela sua relevância no mercado, desde a associação em participação e consórcio, passando pela compra e venda comercial, mediação, distribuição (agência, concessão comercial e franchising), transporte, seguros e publicidade, até contratos puramente bancários, como a abertura de conta, depósito e conta-corrente bancária, entre outros. Por fim, o curso encerra com a temática dos instrumentos comerciais e financeiros – títulos de crédito (letras, livranças e cheques) e valores mobiliários – e com uma breve referência aos meios de pagamento. Quanto ao conteúdo propriamente dito, a presente edição, com um texto 10% mais extenso do que o precedente, reflete a atualização da anterior, por efeito do aparecimento de novas fontes – como o Código da Propriedade Industrial de 2018 (publ. em dezembro) e as alterações introduzidas na lei das práticas (individuais) restritivas do comércio –, desenvolve algumas matérias que já eram focadas (casos da sucessão empresarial e societária, do comércio eletrónico, dos contratos de mediação imobiliária, de agência e concessão comercial, de transporte, de abertura de conta e de depósito, e de publicidade) e aborda, ainda que com o caráter sintético que caracteriza toda a obra, novos temas, tais como as sociedades unipessoais, os smart contracts, o contrato de jogo e aposta e os cartões virtuais. Each chapter reviews the transparency principles applicable in the jurisdiction discussed. Whether expressly or impliedly, all jurisdictions recognize a duty on the part of the insured to make a fair presentation of the risk when submitting a proposal for cover to the insurers, although there is little consensus on the scope of that duty. Disputed matters in this regard include: whether it is satisfied by honest answers to express questions, or whether there is a spontaneous duty of disclosure; whether facts relating to the insured’s character, as opposed to the nature of the risk itself, are to be presented to the insurers; the role of insurance intermediaries in the placement process; and the remedy for breach of duty. Transparency is, however, a much wider concept. Potential policyholders are in principle entitled to be made aware of the key terms of coverage and to be warned of hidden traps (such as conditions precedent, average clauses and excess provisions), but there are a range of different approaches. Some jurisdictions have adopted a “soft law” approach, using codes of practice for pre-contract disclosure, while other jurisdictions employ the rather nebulous duty of (utmost) good faith. Leaving aside placement, transparency is also demanded after the policy has been incepted. The insured is required to be transparent during the claims process. There is less consistency in national legislation regarding the implementation of transparency by insurers in the context of handling claims.
