Se trata, en su comienzo, del ius mercatorum, que es tal no sólo porque regula la actividad de los mercatores, sino también, y especialmente, porque es derecho creado por los mercatores, derecho que nace de los estatutos de las corporaciones mercantiles, de la costumbre mercantil, y de la jurisprudencia de la curia de los comerciantes. El ius mercatorum, está creado directamente por la clase mercantil, sin mediación de la sociedad política, es, por tanto, un derecho que no se impone en nombre de la comunidad entera, sino en nombre de una clase; no obstante ser ésta la clase políticamente dirigente, la fuerza de gobierno de la sociedad urbana, que puede dictar leyes a través de las instituciones públicas, con la fuerza de la autoridad municipal. Un derecho mercantil «grande, universal», «como el propio comercio que lo ha producido». En la edad moderna, que es la época de la codificación del derecho privado, la época de la mediación del Estado en la regulación de todas las relaciones sociales, el antiguo particularismo jurídico se presenta de un modo diverso: el derecho mercantil es el derecho de los códigos de comercio separados de los códigos civiles, de la jurisdicción mercantil separada de la jurisdicción civil".
