Grundsätzlich kontrollieren und regulieren die Nationalstaaten zwar die wirtschaftlichen und sonstigen Betriebsamkeiten auf ihrem Staatsgebiet oder innerhalb des Gebietes eines Staatenverbundes, trotzdem aber steigt die Anzahl der ökonomischen, gesellschaftlichen und politischen Aktivitäten, die sich dem staatlichen Einfluss weitgehend zu entziehen vermögen. Als Folge haben einzelne Staaten nicht die notwendigen Machtmittel und Optionen, um alle Anstrengungen weltumspannend auftretender Konzerne in regulatorische Schranken zu weisen. Mit dieser stetigen Wandlung der Machtverhältnisse und dem gestiegenen öffentlichen und gesellschaftlichen Interesse an verantwortungsvollem und nachhaltigem Umgang mit Ressourcen als Hintergrund, sind insbesondere innerhalb der letzten Dekade die Rufe nach dem verstärkten Engagement von Unternehmen im Bereich von gesamtgesellschaftlicher und ökologischer Verantwortung unüberhörbar geworden. In diesem Zusammenhang ist der Entwurf der sog. Corporate Social Responsibility (CSR), als Engagement eines Unternehmens außerhalb seines eigentlichen Kerngeschäfts im gesamtgesellschaftlichen Bereich und aus eigener Motivation heraus, verstärkt ins Bewusstsein von Öffentlichkeit, Politik und Wirtschaftsverbänden vorgedrungen. Von einer großen Zahl von Unternehmen wird diese freiwillige, nicht erzwungene Übernahme von (finanzieller) Verantwortung im Bereich der Gesellschaft und des Umweltschutzes proaktiv vorangetrieben. Dies geschieht regelmäßig aus moralischen Gründen oder aus - im Sinne des Shareholder Value erlösmaximierenden - Motivationen oder einer verschieden gewichteten Mischung aus beiden Erwägungen. Gegenstand dieser Arbeit soll daher sein, das Konzept der Corporate Social Responsibility als Business Case zu untersuchen. Dabei wird der aktuelle Stand der empirischen Forschung zu diesem Themengebiet beleuchtet werden und es soll die Messbarkeit des finanziellen Nutzens von CSR Aktivitäten kritisch analysiert werden, um eine Prognose wagen zu können, ob der regen Aktivität im Bereich der CSR eher die Qualität einer nachhaltigen, dauerhaften Entwicklung oder eher die Qualität eines Modetrends zuzusprechen ist.

Diese Neudefinition gesellschaftlicher Unternehmensverantwortung lässt sich weder allein durch managementstrategische Einzelentscheidungen noch durch makrostrukturelle Prozesse der Institutionalisierung erklären: Die Autorin argumentiert, dass dieser beobachtete Prozess vielmehr von einer konfliktreichen Dynamik zwischen Bewegungen und Gegenbewegungen vorangetrieben wird, in der nichtstaatliche Akteure – vor allem NGOs und Unternehmen selbst – um eine globale Legitimationsgrundlage für Unternehmen ringen.

Um diese Potentiale zukünftig ausschöpfen zu können, wurden Empfehlungen an die Praxis und Forschung formuliert.

Book excerpt: The patent system is based on "one-patent-per-product" presumption and therefore fails to sustain complex follow-on innovations that contain a number of patents. The book explains that follow-on innovations may be subject to market failures such as hold-ups and excessive royalties. For decades, scholars have debated whether the market problems can be solved with voluntary licensing i.e., open innovation, or with compulsory liability rules. The book concludes that neither approach is sufficient. On the one hand, incentives to engage in open innovation practices involving patents are insufficient. On the other hand, the existing compulsory liability rules in patent and competition law are not tailored to address follow-on innovator's interests. To transcend this problem, the author proposes a compulsory liability rule against the suppression of follow-on innovation, that paradoxically, fosters early-on voluntary licensing between patent holders and follow-on innovators. The book is aimed at patent and competition law scholars and practitioners, patent attorneys, managers, engineers and economists who either engage in open innovation involving patents or conduct research on the topic. It also offers insights to policy and law-makers reviewing the possibilities to foster open innovation initiatives or adapt the scope of patent remedies or employ compulsory licenses for patents.

The author examines the requirements for the protection of information as trade secrets in three selected European jurisdictions: the United Kingdom, Germany, and Italy. In particular, this book focuses on the study of the so-called "secrecy requirement" and the divergent standards adopted in each of the above mentioned jurisdictions. On the basis of such analysis, this work identifies and examines whether there is a common ground that would allow a potential harmonization of the secrecy requirement at the EU level. Finally, it studies the legal consequences of establishing an exclusive proprietary regime for the protection of trade secrets, instead of relying on the traditional unfair competition regime set forth in Article 10bis of the Paris Convention and 39(2) TRIPs.
