En lugar de ser una depredadora neta del sistema físico-social, la empresa sostenible obtiene recursos del sistema con el propósito de contribuir a la creación neta de riqueza. De acuerdo con esta concepción, y a través del análisis de las dieciocho empresas líderes del IDJS, se explora cómo estas empresas están integrando la sostenibilidad en su gobierno, en la formulación de su estrategia y en sus sistemas de gestión. Asimismo, se analiza de qué manera su apertura hacia el entorno físico y social ha contribuido al desarrollo de un diálogo honesto, fluido y abierto con grupos de partes interesadas. Los resultados, conclusiones y buenas prácticas descritos en este libro resultarán útiles a aquellas compañías que, conscientes de la importancia de la sostenibilidad, están intentando interiorizar el desarrollo sostenible como un motor fundamental de sus procesos de creación de valor. Il est démontré qu’un système équilibré, c’est-à-dire dans lequel les différents intérêts sont pris en compte, est tout à fait envisageable au regard des dispositions législatives, de la jurisprudence et des projets de réforme. Dans une première partie, les conditions de la responsabilité civile sont décrites et remises en question de manière critique, de même que de réformes sont proposées. Autant les conditions de la responsabilité civile des dirigeants envers la société in bonis (« Business judgement rule ») qu’envers la société en difficultés, les tiers et les actionnaires (« responsabilité pour manquement à l’obligation d’information des marchés de capitaux ») sont traitées. Toutefois, un système équilibré ne peut être dégagé seulement si, les moyens de la mise en œuvre (Action pro socio, class action, prescription) et la possibilité d’une limitation de la responsabilité civile sont pris en compte (cf. deuxième partie de l’étude). L’étude montre que la limitation de la responsabilité peut se faire autant a priori (par le contrôle des actionnaires au moment de l’assemblée générale, des administrateurs indépendants ou les commissaires aux comptes) qu’a posteriori (par ex. par une assurance D&O ou le plafonnement de la responsabilité civile).

Book excerpt: Malaysia came into existence on 9/16/63 as a federation of Malaya, Singapore, Sabah (North Borneo), and Sarawak; in 1965 Singapore withdrew from the federation. Offers an in-depth and detailed analysis of the political processes that led to formation of the Federation of Malaysia in 1963. It argues that the Malaysia that came into being following the amalgamation of Malaya, Singapore, Sarawak and North Borneo was a political creation whose only rationale was that it served a convergence of political and economic expediency for the departing colonial power, the Malayan leadership and the ruling party of self-governing Singapore. 'Greater Malaysia' was thus an artificial political entity, the outcome of a concatenation of interests and motives of a number of political actors in London and Southeast Asia from the 1950s to the early 1960s. This led to a number of unresolved compromises between Singapore and Kuala Lumpur and did not obviate the possibility of future difficulties, and the seeds of dissension sown by the disagreements between the two governments were to sprout into major crises during Singapore's brief history in the Federation of Malaysia.
