Il volume contiene, inoltre, una approfondita disamina delle problematiche relative ai documenti contabili rilevanti prima e durante la crisi, anche con riferimento al sistema IAS/IFRS, alla ricerca di un inquadramento più appagante delle situazioni prive di disciplina esplicita, al fine di eliminare le incertezze interpretative con soluzioni fedeli al sistema. Puntuale trattazione è dedicata ai profili di tutela dei creditori sociali in relazione al tema della quantificazione del danno risarcibile quale conseguenza del mancato adempimento dell’obbligo di attivazione che grava sull’organo gestorio. In particolare, con riferimento all’accertamento del nesso causale tra l’indebitamento e il danno concretamente sofferto dai terzi, l’Autore propone una correzione interpretativa delle nuove norme attraverso la analogia con le equivalenti fattispecie di cui all’ordinamento tedesco – pur nella consapevolezza delle significative differenze che si riscontrano nei rispettivi regimi – giungendo alla necessaria differenziazione tra creditori antecedenti alla perdita della continuità aziendale (quali portatori di un danno derivato e di massa) e creditori successivi (che soffrono, invece, un danno diretto e autonomo).
