Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from Rahill's Corporation Accounting and Corporation Law Talking with a friend a little over four months a ;o, on the multiplicity of corporations, I expressed the opinion that a book devoted exclusively to Corporation Accounting and Corporation Law should find favor among accountants and others interested in corporations. He shared my conviction and strongly advised me to set about the publication of such a book. This little volume is the result of my labors, performed chiefly at night. There are hundreds of books devoted to book-keeping in general, but none that I know of devoted entirely to this important branch of the science of book-keeping. That this is not complete I own. that it has its shortcomings I confess, but I trust it will not be Judged by its shortcomings but rather by such merit as may be found in it. I have endeavored to make this work more than interesting. My aim has been to make it instructive and useful to the large number of good book-keepers who have not had practical training in this branch of accounting. No one man knows all there is to be known of any science and 1 do not claim to be a master of this, therefore I invite, and will appreciate friendly criticism and endeavor to profit by it in the future. Stock Exchanges are so interwoven with Stock Companies that they necessarily form a part of this work and constitute one of its most interesting features. A digest of the laws of all the states is also a unique and very valuable appendix. About the Publisher Forgotten Books publishes hundreds of thousands of rare and classic books. Download or read book The Law of Corporations in a Nutshell, 8th written by Richard D. Freer and published by . This book was released on 2020 with total page 569 pages. Available in PDF, EPUB and Kindle. Book excerpt: "Completely revised and updated, conversational in tone, the book summarizes all major forms of business, not simply the corporation. It features numerous examples to illustrate key concepts. Comprehensive yet concise, it addresses the theory of the firm, including the emergence of greater concerns for constituencies other than shareholders, as well as the nuts-and-bolts of corporate law. It offers separate consideration of specialized issues raised in closely-held and public corporations. With updated discussion of recent case law, particularly about controlling shareholders and takeovers, the book offers detailed comparison of Delaware and other leading corporate law legislation. The book also covers relevant federal law, including Sarbanes-Oxley, Rule 10b-5, and Section 16(b). Financial and accounting concepts are explained with helpful examples, so that even sociology majors need not fear them." -- Publisher.

Book Synopsis Corporate Law and the Theory of the Firm by : Wm. Dennis Huber
Download or read book Corporate Law and the Theory of the Firm written by Wm. Dennis Huber and published by Routledge. This book was released on 2020-04-08 with total page 188 pages. Available in PDF, EPUB and Kindle. Book excerpt: Dozens of judicial opinions have held that shareholders own corporations, that directors are agents of shareholders, and even that directors are trustees of shareholders’ property. Yet, until now, it has never been proven. These doctrines rest on unsubstantiated assumptions. In this book the author performs a rigorous, systematic analysis of common law, contract law, property law, agency law, partnership law, trust law, and corporate statutory law using judicial rulings that prove shareholders do not own corporations, that there is no separation of ownership and control, directors are not agents of shareholders, and shareholders are not investors in corporations. Furthermore, the author proves the theory of the firm, which is founded on the separation of ownership and control and directors as agents of shareholders, promotes an agenda that wilfully ignores fundamental property law and agency law. However, since shareholders do not own the corporation, and directors are not agents of shareholders, the theory of the firm collapses. The book corrects decades of confusion and misguided research in corporate law and the economic theory of the firm and will allow readers to understand how property law, agency law, and economics contradict each other when applied to corporate law. It will appeal to researchers and upper-level and graduate students in economics, finance, accounting, law, and sociology, as well as attorneys and accountants.
Book Synopsis Corporations Law and Policy by : Jeffrey D. Bauman
Download or read book Corporations Law and Policy written by Jeffrey D. Bauman and published by West Academic Publishing. This book was released on 2003 with total page 1368 pages. Available in PDF, EPUB and Kindle. Book excerpt: Updated to reflect changing trends and new judicial developments, Corporations: Law and Policy, Materials and Problems exposes students to the richness and complexity of corporate law, with carefully crafted and painstakingly edited cases. The book's organization reflects the growing importance, doctrinally and structurally, of the business judgment rule. Each chapter includes a problem for class discussion, many of which place students in the role of corporate planners and allow instructors to highlight the real-world impact of doctrinal uncertainty concerning the scope of the director's duty of care. The fifth edition includes updated emphasis on the corporation as a set of rules meant to resolve intra-corporate conflicts and protect investor/creditor expectations. The book also provides expanded treatment of the role of institutional shareholders and outside directors in corporate governance; the debate surrounding state-chartering competition and the prominence of Delaware in U.S. corporate law; the duties of controlling shareholders; and SEC rules and Sarbanes-Oxley provisions affecting corporate disclosures and insider-trading duties.
