Set in 2011, TCL has a decision to make on the potential acquisition of a stake in a North American early stage potash development company. This acquisition could allow TCL to set up a fertilizer plant, which might give the company a jump start just as earlier acquisitions had helped the company to be ranked number two in the world in soda ash production. As backward integration can be a risky strategy, the acquisition needs to be carefully considered in terms of when to integrate and when to rely on market-driven contractual arrangements. Learning Objective: This case is designed for MBA students for a module on scope expansion as part of corporate strategy. The conceptual framework on integration can be introduced with this case in a 70-minute session. The objective of this case is to illustrate three key points: A pattern in decisions over time reveals strategy. The consistency of contextual logic in the approach to major decisions like acquisitions over time explains successful performance. A focused expansion is more likely to deliver value since growth can also deliver operational enhancement.
