Book excerpt: Generally when a successful business is acquired, whether by an asset acquisition or an equity acquisition, the assets will include both tangible and intangible property. When an entity conducting a business is liquidated, the tangible and intangible assets of the entity are distributed to the owners. Often, one very valuable intangible that does not appear on the balance sheet is goodwill. In many businesses, particularly service businesses, goodwill is often one of the largest, if not the largest, assets of the business. Indeed, in personal service businesses, the value of the goodwill may be a major multiple of all the other assets combined. There are two variations of goodwill - "enterprise goodwill" attributable to the entity and "personal goodwill" that is attributable to the individual. The failure to differentiate between enterprise goodwill and personal goodwill in the context of an asset sale, a liquidation of the business or the value of business in an estate can have negative tax effects not only in a C corporation context, but also even for a passthrough entity and its owners. The author successively discusses the relevance of personal goodwill to a passthrough entity, definition of goodwill, enterprise goodwill vs. personal goodwill, characterization of personal goodwill as an ordinary income asset or as a capital asset, historical perspective of personal goodwill, and relatively recent cases finding personal goodwill. The author concludes that personal goodwill exists in appropriate circumstances and can be used to facilitate transactions and minimize taxes in many situations - even those involving passthrough entities.

Available in PDF, EPUB and Kindle. Book excerpt: The very idea that the teachings can be mastered will arouse controversy within Buddhist circles. Even so, Ingram insists that enlightenment is an attainable goal, once our fanciful notions of it are stripped away, and we have learned to use meditation as a method for examining reality rather than an opportunity to wallow in self-absorbed mind-noise. Ingram sets out concisely the difference between concentration-based and insight (vipassana) meditation; he provides example practices; and most importantly he presents detailed maps of the states of mind we are likely to encounter, and the stages we must negotiate as we move through clearly-defined cycles of insight. Its easy to feel overawed, at first, by Ingram's assurance and ease in the higher levels of consciousness, but consistently he writes as a down-to-earth and compassionate guide, and to the practitioner willing to commit themselves this is a glittering gift of a book.In this new edition of the bestselling book, the author rearranges, revises and expands upon the original material, as well as adding new sections that bring further clarity to his ideas.

Book excerpt: Research and Qualitative Interviews brings into focus the decisions that the interviewer faces by taking a data-led approach in order to open up choices and decisions in the process of planning for, managing, analysing and representing interviews. The chapters concentrate on the real-time, moment-by-moment nature of interview management and interaction. A key feature of the book is the inclusion of reflexive vignettes that foreground the voices and experience of qualitative researchers (both novices and more expert practitioners). The vignettes demonstrate the importance of reflecting on and learning from interactional experience. In addition, the book provides an overview of different types of interviews, commenting on the orientation and make-up of each type. Overall, this book encourages reflective thinking about the use of research interviews. It distinguishes between reflection, reflective practice and reflexivity. All the chapters focus on recurring choices, dilemmas and puzzles; offering advice in opening out and engaging with these aspects of the research interview.

Book excerpt: Entrepreneurship and intrapreneurship have become a vehicle that offers solutions for social, environmental, and economic problems. Even though the level of entrepreneurial activity and its diversity have been motivated through public policies, social support has also played an important role in encouraging people to think of entrepreneurship as a desirable career choice. This book brings together analyses of those elements required for entrepreneurial and intrapreneurial intention and action, which ultimately become important leverages of development. Chapters highlight the importance of rural, urban, university, organizational, and family environments for a bunch of intentions and behaviors such as green, sport, social, corporate, innovative, traditional, and gender entrepreneurship. This entrepreneurial diversity is translated into higher development through the empowerment of women, environmental consciousness, and efficient production. Policymakers, scholars, and practitioners can find different examples and cases useful for decision-making, learning, and practice in this book.

Available in PDF, EPUB and Kindle. Book excerpt: Nuclear disarmament is firmly back on the international agenda. But almost all current thinking on the subject is focused on the process of reducing the number of weapons from thousands to hundreds. This rigorous analysis examines the challenges that exist to abolishing nuclear weapons completely, and suggests what can be done now to start overcoming them. The paper argues that the difficulties of 'getting to zero' must not preclude many steps being taken in that direction. It thus begins by examining steps that nuclear-armed states could take in cooperation with others to move towards a world in which the task of prohibiting nuclear weapons could be realistically envisaged. The remainder of the paper focuses on the more distant prospect of prohibiting nuclear weapons, beginning with the challenge of verifying the transition from low numbers to zero. It moves on to examine how the civilian nuclear industry could be managed in a nuclear-weapons-free world so as to prevent rearmament. The paper then considers what political-security conditions would be required to make a nuclear-weapons ban enforceable and explores how enforcement might work in practice. Finally, it addresses the latent capability to produce nuclear weapons that would inevitably exist after abolition, and asks whether this is a barrier to disarmament, or whether it can be managed to meet the security needs of a world newly free of the bomb.
