Book excerpt: Corporate governance continues to evolve, especially in a South African context where companies must deal with the combined effects of environmental challenges, socio-political uncertainty and impediments to economic growth. The second edition of Corporate Governance in South Africa contains essential details on the principles and practices of good governance outlined in the first edition. It builds on these concepts by covering the latest developments in the sustainability reporting space, incorporating recent research findings on integrated thinking and clarifying the core features of outcomes-based governance. This book demonstrates to governing bodies, users of corporate reports, practitioners and academics how corporate governance is not just a compliance exercise but something central to the generation of superior financial returns and long-term sustainable development.

Book excerpt: This study focuses on the corporate governance initiatives, laws and regulations aimed at enhancing the effectiveness of boards of public entities in Zimbabwe. The key question addressed is whether or not the corporate governance initiatives and legal and regulatory reforms in Zimbabwe are sufficient to enable boards of public entities to effectively discharge their duties and meet internationally accepted corporate governance standards. A comparative analysis of Zimbabwe’s public entities corporate governance framework to that of South Africa (a developing country like Zimbabwe) and Australia (a developed country with similar common law heritage) is also conducted. Recommendations are made on how best to enhance the effectiveness of boards of public entities in order to promote good corporate governance practices in Zimbabwean public entities.

Book excerpt: This book examines the contemporary and contentious question of the critical connections between business and human rights, and the implementation of socially responsible norms in developing countries, with particular reference to Kenya, Nigeria, and South Africa. Business enterprises and transnational corporate actors operate in a complex global environment, especially when operating in high risks sectors such as oil and gas, mining, construction, banking, and health care amongst others. Understanding human rights responsibilities, impacts, and socially responsible behaviour for companies is therefore an essential component of corporate risk management in our current world. The release of the United Nations Guiding Principles on Business and Human Rights, an instrument consisting of 31 principles on this issue, has further underscored the emergence of a rapidly developing set of international law norms on human rights responsibilities of businesses and transnational corporations. It has also shaped the discourse on corporate accountability for human rights. In addition to minimizing litigation, financial and reputational risks, understanding and demonstrating corporate respect for human rights is vital to building a culture of trust and integrity amongst local communities, investors, and shareholders. While Africa has been at the receiving end of deleterious activities of corporate actors, it has failed to address corporate impunity and human rights violations by non-state actors. Questions abound revolving around the underpinnings of a corporate responsibility to respect human rights, that is, how non-western and particularly African conceptions of respect may help develop a beyond do no net harm approach to respect; policy discourses on human rights due diligence, human rights impact assessment; mandating corporate respect for human rights in both domestic and international law. This book examines, clarifies, and unpacks the guiding principles of a rights-based approach to development and social inclusion. It offers an excellent exposition of regulatory capacity, institutional efficacy, and democratic legitimacy of governance institutions that shape development including a comprehensive analysis of how states are shaping business and human rights discourses locally to develop a critical understanding of identified issues by exploring the latest theories through comparative lenses.

Book excerpt: Rights-based Litigation, Urban Governance and Social Justice in South Africa considers the overlap between legal and everyday struggles for social and spatial justice in the particular context of Johannesburg, South Africa. Drawing from literature across disciplines of law, urban geography and urban planning, as well as from reported case-law concerning the invocation of constitutional rights in Johannesburg and other South African cities, the book critically examines whether, and to what extent, the invocation of legal rights before South African courts have contributed to the advancement of social justice in the city. It considers the impact of the legal assertion of different constituent aspects of the so-called "right to the city" on the many people simultaneously performing the right, the governance structures responsible for enabling and facilitating its enjoyment and, thirdly, the physical place in which it is performed. Drawing broad conclusions on the utility of rights-based litigation for the achievement of social change and spatial justice, this book will be of interest to students and scholars of South Africa, constitutional law, human rights law, regulatory law, sociology of rights, studies of law and society, urban studies, urban geography, governance studies, and development studies.

Book excerpt: This book examines the problem of accountability in two African political systems, South Africa and Nigeria. Despite the principle of separation of powers and the doctrine of checks and balances among the institutions of governance, a burgeoning governance crisis stifles the potential of accountability and good governance. Legislative oversight in the two countries remains largely ineffective while citizens are left to face the consequences of the mismanagement of public resources by political elites. This book critically assesses how the legislative institutions in South Africa and Nigeria have been unable to harness the requisite constitutional powers to ensure accountability in government and explores the feasibility of their effectiveness. The book begins with a comparative analysis of the principles, tradition, and powers associated with legislative capability in South Africa and Nigeria. The chapters explore constitutional provisions and analyze the capacity of each legislature to function within its respective political environment. The book also examines the process and challenges associated with the various measures and mechanisms available for legislatures to ensure accountability in the two countries. Researchers, scholars and students of African politics will find this book useful in their understanding of the problems associated with the simmering governance crisis in South Africa and Nigeria.

It is free to read at Oxford Scholarship Online and offered as a free PDF download from OUP and selected open access locations. All over the world, economic inclusion has risen to the top of the development discourse. A well-performing education system is central to achieving inclusive development - but the challenge of improving educational outcomes has proven to be unexpectedly difficult. Access to education has increased, but quality remains low, with weaknesses in governance comprising an important part of the explanation. The Politics and Governance of Basic Education explores the balance between hierarchical and horizontal institutional arrangements for the public provision of basic education. Using the vivid example of South Africa, a country that had ambitious goals at the outset of its transition from apartheid to democracy, it explores how the interaction of politics and institutions affects educational outcomes. By examining lessons learned from how South Africa failed to achieve many of its goals, it constructs an innovative alternative strategy for making process, combining practical steps to achieve incremental gains to re-orient the system towards learning.

Available in PDF, EPUB and Kindle. Book excerpt: "Good Capitalism, Bad Capitalism? The role of business in South Africa offers an insightful and balanced account of how the business sector, and particularly organised business, has influenced South Africa's political and socio-economic trajectory over the years, and what it will take for the key actors, politicians and business and labour leaders, to find a new sense of (common) purpose in the post-Zuma era. Recent years have seen organised business in South Africa (represented by organisations such as Business Unity South Africa (BUSA), Business Leadership South Africa (BLSA) and the Black Business Council (BBC)) become fragmented and unnecessarily competitive, with national, provincial and/or local multi-sectoral bodies often having overlapping or conflicting interests and mandates. In the process, the once powerful 'voice of business' has become considerably weaker. What has gone wrong, and can order be re-established?"--Publisher's description.
