This book was released on 2014-01-08 with total page 131 pages. Available in PDF, EPUB and Kindle. Book excerpt: Bank foundations serve an important purpose in the Italian nonprofit sector. This book presents the legal grounds, areas of intervention, and basic tools involved in the asset management and grant-making activities that such organizations undertake. A special emphasis focuses on the analyses of the organizational structure of bank foundations and the relevant aspects of governance, particularly with regard to the composition, roles, and responsibilities of bank foundation boards. The general reduction in the resources to which they have access requires a new strategy that clearly defines long-term goals and the necessary procedures to achieve them. The topic of strategic planning is therefore also central to this text, which examines its peculiarities, content and governing bodies. The analysis of some case studies provides a better understanding of the manner in which foundations interpret strategic planning and reveals strengths and weaknesses that demand careful attention.
Book Synopsis Reforming the Corporate Governance of Italian Banks by : Nadège Jassaud
Download or read book Reforming the Corporate Governance of Italian Banks written by Nadège Jassaud and published by International Monetary Fund. This book was released on 2014-09-25 with total page 31 pages. Available in PDF, EPUB and Kindle. Book excerpt: Sound corporate governance is essential for a well-functioning banking system and the integrity of financial markets. The paper discusses the corporate governance of Italian banks, its regulatory framework, and the specific challenges arising from the role played by foundations and large cooperatives. Although Italian banks have recently made progress in improving their corporate governance, more needs to be done. In this regard, further improvements should include: (i) strengthening further the existing banking regulations through stricter fit-and-proper rules for directors and controlling shareholders; (ii) implementing the new related party lending regulation with tightened definitions; (iii) strengthening oversight of foundations when they are the controlling shareholders in banks; and (iv) facilitating the transformation of large cooperatives into joint stock companies.
Book Synopsis The Corporate Governance of Banks by : Ross Levine
Download or read book The Corporate Governance of Banks written by Ross Levine and published by World Bank Publications. This book was released on 2004 with total page 20 pages. Available in PDF, EPUB and Kindle. Book excerpt: "Levine examines the corporate governance of banks. When banks efficiently mobilize and allocate funds, this lowers the cost of capital to firms, boosts capital formation, and stimulates productivity growth. So, weak governance of banks reverberates throughout the economy with negative ramifications for economic development. After reviewing the major governance concepts for corporations in general, the author discusses two special attributes of banks that make them special in practice: greater opaqueness than other industries and greater government regulation. These attributes weaken many traditional governance mechanisms. Next, he reviews emerging evidence on which government policies enhance the governance of banks and draws tentative policy lessons. In sum, existing work suggests that it is important to strengthen the ability and incentives of private investors to exert governance over banks rather than to rely excessively on government regulators. These conclusions, however, are particularly tentative because more research is needed on how legal, regulatory, and supervisory policies influence the governance of banks. This papera product of the Global Corporate Governance Forum, Corporate Governance Departmentis part of a larger effort in the department to improve the understanding of corporate governance reform in developing countries"-- World Bank web site.

Book excerpt: A practical guide for robust sharī'ah governance of the Islamic banking industry Debate in the market on the extent of sharī'ah compliance of Islamic banks, their products, and activities has piqued stakeholders' interest. In Foundations of Sharī'ah Governance of Islamic Banks, Karim Ginena and Azhar Hamid explore the depths of sharī'ah governance to unravel its mysterious dimensions, and equip academics and practitioners with a solid understanding of the subject, which has become a serious challenge and thus deserves dedicated attention. The authors make a strong case for the need to contain the sharī'ah risk that Islamic banks experience, and present a compelling argument for how this should be done. Ginena and Hamid propose a robust sharī'ah governance model that comprehensively tackles thisrisk, and helps improve the extent of sharī'ah compliance of market players. The authors detail the internal, external, and institutional arrangements needed to promote responsible sharī'ah governance, and critically analyze current laws, regulations, and industry practices on the topic. The chapters of the book do the following: Examine the roots, characteristics and objectives of sharī'ah and its relation to financial dealings; Probe the role of regulators in sharī'ah governance, explore the different approaches adopted by banking supervisors, and provide examples of relevant legal and regulatory measures; Explain to bank directors and management the fiduciary duty they assume with respect to sharī'ah compliance, and detail how they could discharge this responsibility in line with best practices; Elaborate on the purpose of the Sharī'ah Supervisory Board (SSB), its responsibilities, competence criteria, internal regulations, and key governance guidelines; additionally, they explore different SSB models; Describe the internal sharī'ah control system including its six components, and examine the internal sharī'ah audit function as well as different stages of conducting a sharī'ah audit; Clarify the role of a sharī'ah auditor, with guidance on reporting lines, scope of duties, authority, and practical ways on fulfilling tasks, such as a sample sharī'ah risk assessment grid and audit checklists; Discuss the newly emerging external sharī'ah advisory firms that are expected to play a key role in the coming years and the services they provide. Through an effective treatment of each of these elements, and the way that they interact with one another, the book offers a fresh take on how robust sharī'ah governance of Islamic banks can be successfully accomplished. It is a comprehensive resource for academics, regulators, directors, lawyers, auditors, consultants, employees, and customers of Islamic banks interested in learning more about these challenges. This essential reading persuasively extends the discourse on the subject and addresses critical sharī'ah issues that have policy implications for decision makers in jurisdictions aiming to attract the fast-growing Islamic finance industry or increase their market share.
Book Synopsis The Danish Industrial Foundations by : Steen Thomsen
Download or read book The Danish Industrial Foundations written by Steen Thomsen and published by Djoef Publishing. This book was released on 2017 with total page 209 pages. Available in PDF, EPUB and Kindle. Book excerpt: Industrial foundations are foundations that own companies. Typically, they combine charitable and business goals. Some global companies such as IKEA, Robert Bosch or the Tata Group are foundation-owned, but nowhere are they as numerous as in Denmark. Three of the four largest Danish companies - the pharma company Novo Nordisk, the shipping company A.P. Moller-Maersk, and the Carlsberg brewery - are all foundation-owned. Surprisingly, very little has been written about what industrial foundations are, and how they operate. The Danish Industrial Foundations provides a comprehensive overview. The book covers aspects such as theory, law, taxation, economic importance, company performance, governance and philanthropy. The book is the result of a large collaborative research project, led by the author, on industrial foundations. [Subject: Business, Economics, Industrial Foundations]

Book Synopsis The Role of Board Oversight in Central Bank Governance: Key Legal Design Issues by : Wouter Bossu
Download or read book The Role of Board Oversight in Central Bank Governance: Key Legal Design Issues written by Wouter Bossu and published by International Monetary Fund. This book was released on 2019-12-27 with total page 71 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper discusses key legal issues in the design of Board Oversight in central banks. Central banks are complex and sophisticated organizations that are challenging to manage. While most economic literature focuses on decision-making in the context of monetary policy formulation, this paper focuses on the Board oversight of central banks—a central feature of sound governance. This form of oversight is the decision-making responsibility through which an internal body of the central bank—the Oversight Board—ensures that the central bank is well-managed. First, the paper will contextualize the role of Board oversight into the broader legal structure for central bank governance by considering this form of oversight as one of the core decision-making responsibilities of central banks. Secondly, the paper will focus on a number of important legal design issues for Board Oversight, by contrasting the current practices of the IMF membership’s 174 central banks with staff’s advisory practice developed over the past 50 years.

Download or read book Boards That Lead written by Ram and published by Harvard Business Review Press. This book was released on 2013-11-19 with total page 305 pages. Available in PDF, EPUB and Kindle. Book excerpt: Is your firm’s board creating value—or destroying it? Change is coming. Leadership at the top is being redefined as boards take a more active role in decisions that once belonged solely to the CEO. But for all the advantages of increased board engagement, it can create debilitating questions of authority and dangerous meddling in day-to-day operations. Directors need a new road map—for when to lead, when to partner, and when to stay out of the way. Boardroom veterans Ram Charan, Dennis Carey, and Michael Useem advocate this new governance model—a sharp departure from what has been demanded by governance activists, raters, and regulators—and reveal the emerging practices that are defining shared leadership of directors and executives. Based on personal interviews and the authors’ broad and deep experience working with executives and directors from dozens of the world’s largest firms, including Apple, Boeing, Ford, Infosys, and Lenovo, Boards That Lead tells the inside story behind the successes and pitfalls of this new leadership model and explains how to: • Define the central idea of the company • Ensure that the right CEO is in place and potential successors are identified • Recruit directors who add value • Root out board dysfunction • Select a board leader who deftly bridges the divide between management and the board • Set a high bar on ethics and risk With a total of eighteen checklists that will transform board directors from monitors to leaders, Charan, Carey, and Useem provide a smart and practical guide for businesspeople everywhere—whether they occupy the boardroom or the C-suite.
Book Synopsis The Foundations and Future of Financial Regulation by : Mads Andenas
Download or read book The Foundations and Future of Financial Regulation written by Mads Andenas and published by Routledge. This book was released on 2013-11-20 with total page 556 pages. Available in PDF, EPUB and Kindle. Book excerpt: Financial regulation has entered into a new era, as many foundational economic theories and policies supporting the existing infrastructure have been and are being questioned following the financial crisis. Goodhart et al’s seminal monograph "Financial Regulation: Why, How and Where Now?" (Routledge:1998) took stock of the extent of financial innovation and the maturity of the financial services industry at that time, and mapped out a new regulatory roadmap. This book offers a timely exploration of the "Why, How and Where Now" of financial regulation in the aftermath of the crisis in order to map out the future trajectory of financial regulation in an age where financial stability is being emphasised as a key regulatory objective. The book is split into four sections: the objectives and regulatory landscape of financial regulation; the regulatory regime for investor protection; the regulatory regime for financial institutional safety and soundness; and macro-prudential regulation. The discussion ranges from theoretical and policy perspectives to comprehensive and critical consideration of financial regulation in the specifics. The focus of the book is on the substantive regulation of the UK and the EU, as critical examination is made of the unravelling and the future of financial regulation with comparative insights offered where relevant especially from the US. Running throughout the book is consideration of the relationship between financial regulation, financial stability and the responsibility of various actors in governance. This book offers an important contribution to continuing reflections on the role of financial regulation, market discipline and corporate responsibility in the financial sector, and upon the roles of regulatory authorities, markets and firms in ensuring the financial health and security of all in the future.
Book Synopsis Fundamentals of Board Busyness and Corporate Governance by : Vu Quang Trinh
Download or read book Fundamentals of Board Busyness and Corporate Governance written by Vu Quang Trinh and published by . This book was released on 2022 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book delivers the essential concepts and theoretical perspectives of corporate governance and board busyness. It uses the unique context of a dual banking system to capture the potential effects of such aspects on corporate outcomes. Board busyness refers to a board with a substantial proportion of "busy" members who hold multiple directorships. In most cases, directors are "over-boarded," which means that they hold an excessive number of seats across different boards. The busyness of individuals is gauged to infer their monitoring and recommending abilities through their involvement, efforts, knowledge, skills, and experience, and hence, their behaviour in financial contexts. Yet an assessment of board busyness and its effects is challenging and inconclusive concerning the two opposing arguments surrounding this board attribute: reputation and busyness. The book is the first to thoroughly discuss this up-to-date concept within the dual banking system, and it is designed to help new researchers in this field and students boost their research and academic careers.

Book Synopsis Comparative Corporate Governance of Non-Profit Organizations by : Klaus J. Hopt
Download or read book Comparative Corporate Governance of Non-Profit Organizations written by Klaus J. Hopt and published by Cambridge University Press. This book was released on 2010-04-22 with total page pages. Available in PDF, EPUB and Kindle. Book excerpt: The economic importance of the non-profit sector is growing rapidly in the USA and Europe. However, the law has not kept abreast with its development. The European Court of Justice has extended certain freedoms of the EC Treaty to non-profit organisations, and more case law is expected to follow in the near future, but the observations, theories, solutions and legal and non-legal rules in this field are manifold. The chances of harmonising the law on a European level are slim. Despite these differences, a common core of international corporate governance problems and regulatory solutions can be seen. This volume of essays brings together a variety of international experts from both corporate governance and governance of non-profit organisations to compare the two areas and explore the lessons that can be learned regarding comparative corporate governance for non-profit organisations.
