Diese immateriellen Wirtschaftsgüter (intangible assets) erfreuen sich in der Kaufpreisfindung immer größerer Bedeutung. Doch was sind intangible assets, wie beeinflussen sie den Kaufpreis eines Unternehmens und wie werden diese bewertet? Dieser Frage geht die Arbeit im Folgenden nach, indem zuerst die immateriellen Vermögenswerte definiert und anhand von Beispielen eingeordnet werden. Des Weiteren wird auch der Begriff eines Unternehmenserwerbs definiert, sowie die möglichen Gründe dafür aufgezeigt und die dazugehörigen Methoden kurz erläutert. Der Hauptbestandsteil der Arbeitet befasst sich mit der Bewertung der intangible assets. Hier werden Bewertungsvorschriften sowie mögliche Bewertungsverfahren beim Unternehmenserwerb expliziert erläutert, welche in der ISRF 3 und IAS 38 geregelt sind. Abschließend wird die Folgebewertung dieser immateriellen Güter aufgezeigt.

Wissen wird neben anderen immateriellen Werten somit zum wesentlichen Element betrieblicher Steuerungsversuche. Auch Anleger haben ein stetig steigendes Interesse daran Auskunft über die entscheidenden Wertetreiber eines Unternehmens zu erhalten. Traditionelle Bilanzen schaffen es aber nur, wie zu zeigen ist, einen Bruchteil der im Unternehmen vorhandenen Intangibles auszuweisen. Ansätze, die versuchen die Komplexität der Ressource Wissen monetär zu quantifizieren, gibt es nur wenige. Jene sind Betrachtungshorizont der vorliegenden Arbeit. Nicht betrachtet werden dagegen Indikatorensysteme, obgleich einige ihrer Erkenntnisse als Grundlagen einer monetären Bewertung Verwendung finden. Ziel dieser Arbeit soll es sein, zu untersuchen worin die Besonderheit immaterieller Werte liegt, woran eine Bilanzierung in Deutschland i.d.R. scheitert, welche Anforderungen an deren Bewertung zu stellen sind und welche Lösungsansätze für eine monetäre Bewertung existieren. Dazu wird neben einer umfassenden Definition des Begriffs der immateriellen Werte und eine Abgrenzung zwischen entsprechenden Synonymen eine Arbeitsdefinition erstellt. Anschließend werden die Eigenschaften der Intangible Assets analysiert und zu Anforderungen verdichtet. Betrachtungshorizont ist dabei insbesondere Wissen als wesentlicher Bestandteil immaterieller Werte. Dazu zählt auch die Untersuchung der derzeitigen Bilanzierungsregelungen nach HGB und IFRS. Die Anforderungskriterien werden dann auf zwei ausgewählte Instrumente angewendet, der Integrierte Wissensbewertung nach Fraunhofer und dem Weightless Wealth Toolkit nach Andriessen. Keine der in der Diplomarbeit betrachteten Methoden vermag es aber den hier erarbeiteten Anforderungen an eine Bewertung von Intangibles vollends gerecht zu werden. Kernprobleme sind und bleiben, wie bei der Erfassung durch die Rechnungslegungssysteme, die diffizile Identifizierbarkeit und verlässliche Bewertung einzelner Wissensressourcen.
