What are the implications of the state duty to protect human rights in good faith and to guarantee victims of corporate human rights violations access to justice? Can general principles of law, such as abuse of rights, due diligence, and estoppel provide a source of obligations for companies that is relevant to human rights protection? Has an autonomous principle on corporate liability developed in international law? These are the questions at the core of this monograph, which seeks the answers in the normative foundations of public international law.

Book excerpt: It is essential that all students who intend to undertake a career in business have an understanding of the fundamental legal building blocks that underpin commercial life in Australia. It is the basic aim of PRINCIPLES OF BUSINESS LAW to provide students with that understanding in the following areas: an introduction to the Australian legal system; the law of contract; the law of torts (with a particular emphasis on negligent misstatement); actions under Pt V of the Trade Practices Act; and an overview of the principal business organisations used in Australia (corporations, trusts and partnerships). The primary objective in writing this book has been to make these important areas of law as clear and accessible to students as possible. The book has been informed by the authors' wide experience in teaching business law and related units at tertiary level. A genuine effort has been made to provide clear explanations, case studies and examples to bring these topics to life. The format of PRINCIPLES OF BUSINESS LAW has been designed to make cases and examples stand out and each chapter is concluded by a set of tutorial questions to ensure that students know how to apply the work covered in each chapter. PRINCIPLES OF BUSINESS LAW gives students a sound understanding of Australian business law and its application in everyday commercial life. Students will no doubt find this a most useful and accessible text.

Book excerpt: "The Principles of Singapore Business Law, first published in 2009, was followed by a second edition in 2013. This third edition provides a timely update of the legal changes that have taken place since then, stating the law as on 4th May 2019. In keeping with the aims of this publication since the first edition, the volume sets out the law of relevance to business, with the lay reader in mind, while providing glimpses into some complex and unsettled areas of law that are of practical interest. In this vein, layman's language is adopted and pedagogical features are used to summarise, illustrate and provide mind-maps of basic concepts. Unsettled areas are separately highlighted in reflection boxes to provoke further thinking. This volume features some chapters that have been completely or extensively rewritten and others streamlined in both language and content to ensure greaeter accessibility to the lay reader." -- Back cover.

Book excerpt: Lawyers involved in international commercial transactions know well that unforeseen events affecting the performance of a party often arise. Not surprisingly, exemptions for non-performance are dealt with in a significant number of arbitral awards. This very useful book thoroughly analyzes contemporary approaches, particularly as manifested in case law, to the scope and content of the principles of exemption for non-performance which are commonly referred to as 'force majeure' and 'hardship.' The author shows that the 'general principles of law' approach addresses this concern most effectively. Generally accepted and understood by the business world at large, this approach encompasses principles of international commercial contracts derived from a variety of legal systems. It's most important 'restatements' are found in the 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) and the UNIDROIT Principles of International Commercial Contracts (UPICC). Establishing specific standards and "case groups" for the exemptions under review, the analysis treats such recurring elements as the following: contractual risk allocations; unforeseeability of an impediment; impediments beyond the typical sphere of risk and control of the obligor; responsibility for third parties (subcontractors, suppliers); legal impediments (acts of public authority) and effect of mandatory rules; involvement of states or state enterprises; interpretation of force majeure and hardship clauses; hardship threshold test; frustration of purpose; irreconcilable differences; comparison with exemptions under domestic legal systems (impossibility of performance, frustration of contract, impracticability) The book is a major contribution to the development of the use of general principles of law in international commercial arbitration. It may be used as a comprehensive commentary on the force majeure and hardship provisions of the UPICC, as well as on Art. 79 of the CISG. In addition, as an insightful investigation into the fundamental question of the limits of the principle of sanctity of contracts, this book is sure to capture the attention of business lawyers and interested academics everywhere.

Book excerpt: Article 38 of the Statute of the International Court of Justice defines "international law" to include not only "custom" and "convention" between States but also "the general principles of law recognized by civilized nations" within their municipal legal systems. In 1953, Bin Cheng wrote his seminal book on general principles, identifying core legal principles common to various domestic legal systems across the globe. This monograph summarizes and analyzes the general principles of law and norms of international due process, with a particular focus on developments since Cheng's writing. The aim is to collect and distill these principles and norms in a single volume as a practical resource for international law jurists, advocates, and scholars. The information contained in this book holds considerable importance given the growth of inter-state intercourse resulting in the increased use of general principles over the past 60 years. General principles can serve as rules of decision, whether in interpreting a treaty or contract, determining causation, or ascertaining unjust enrichment. They also include a core set of procedural requirements that should be followed in any adjudicative system, such as the right to impartiality and the prohibition on fraud. Although the general principles are, by definition, basic and even rudimentary, they hold vital importance for the rule of law in international relations. They are meant not to define a rule of law, but rather the rule of law.
