Proponents argue that these crypto innovations can revolutionize the way real property transfers operate by reducing or even eliminating what they see as the age-old inefficiencies that have historically characterized the real estate market. The setup is this: real estate is transferred to a special purpose business entity (typically an LLC), the ownership interest in which is embodied in an NFT that exists and can be transferred on a distributed ledger. The NFT, not the real estate, is then auctioned off to a buyer. Through ownership of the LLC holding company (by virtue of holding the NFT), the individual has the right to control possession of the realty. Through this method, so proponents argue, the need to conduct time-consuming and expensive title examinations is dispensed with, thereby leading to quicker closing periods and lower transaction costs. Moreover, crypto financiers facilitate the purchase with a loan to the buyer in exchange for taking a security interest in the NFT, rather than a mortgage over the real property. In this way, the crypto financier is ostensibly able to dispense with the rigamarole of the real property foreclosure system in preference for the more flexible and creditor-controlled procedures available under commercial law. In this Article, we show that this financing structure is rife with problems in both law and policy. Rather than simplifying the deal, the use of these crypto-centric mechanisms actually introduces new transaction costs. And indeed, the sum total of these new complexities and costs is likely greater than those that exist in the more prototypical mortgage deal. Moving beyond these critiques, this Article's main normative contribution is to explain how, when faced with the enforcement of a crypto financier's security rights in an NFT, the law should not take these structures at face value. Instead, we set forth an analytical framework for how courts should treat (including by recharacterizing) such enforcement actions so as to uphold strong public policies on ownership and the protection of real property debtors, despite efforts to circumvent them with crypto innovations.
