Book excerpt: This chapter is primarily concerned with the fact that the concept of conformity is dynamic and amorphous as it is recognised as an impetus to economic development and plays a major role in matters of sale of goods within an economy. In making an assessment of the seller,Äôs duty of conformity to a contract of sale of goods as governed by the OHADA Uniform Act on General Commercial Law, this study argues that the concept of conformity is limited rather than broad that should appropriately encapsulate the physical and non-physical things that could form the object of a contract of sale. It therefore explores other aspects that could be considered as part of the ,Äògoods,Äô for the purposes of the conformance duty in establishing the limits of the seller,Äôs liability. Thus, adopting an empirical and in-depth analysis of primary and secondary data, this study therefore holds that the question of conformity of goods can conveniently be addressed from a number of different angles: contract law, consumer patterns, local and international standards, and the principles of caveat venditor and caveat emptor.

Its recognized flexibility is not sufficient to cope with past and, especially, with future changes brought about by the introduction of new technologies affecting all kinds of goods subject to trade. In light of the challenges posed by 21st-century commerce, Dr. Tripodi proposes the adoption of a Convention on the International Sale of Goods and Services (CISGS). The idea of a new convention is based on the following facts: 1) goods and services are no longer as distinguishable as they were in 1980; 2) sales of goods and sales (i.e., the provision) of services are not as easy to apportion as the CISG supposes and can hardly continue to be treated separately by the legal sources of international trade.

This study is therefore written at a time when there is a current incessant outcry from buyers of goods as a result of bad business malpractices committed by unscrupulous sellers in the Cameroonian market. Though much emphasis has been laid on the commercial buyer as governed principally by the OHADA Law, the primary objective is to measure business practices in theory and in real commercial life. Using an in-depth analysis of primary and secondary data, the authors strongly advocate for the fact that the seller is bound to take responsibility(caveat venditor) for poor quality and the discriminatory prices of goods that are not in conformity with contractual stipulations and the statutory laws in force.
