Where the abnormal return is significantly positive, he documents positive long-run abnormal return on private offerings and evidence supporting the under-reaction hypothesis. Finally, he concludes that the largest shareholders tunnel by means of excess discounts from which they benefit but which is harmful to other shareholders.

Book excerpt: Based on multiple case studies of the transactions in China by private equity funds, this paper attempts to explore the value-creation capabilities of private equity funds at the transaction/deal level. Previous studies on financial performance of PE funds utilized data collected from publically traded companies in European/US markets. By measuring financial performance of both "pre- and post-transactions," these studies researched two questions: 1) Do buyout funds create value? 2) If they do, what are the sources of value creation? In general, studies conclude that private equity/buyout funds do create value at both the deal level and investor level. They also identified four possible sources of such value creation: 1) undervaluation, 2) leverage effect, 3) better governance, and 4) operational improvement.However, relatively little is known about the process of value creation. In this study, I attempt to fill that gap, revealing the "secret recipe" of value creation. By carefully looking into the process of value creation, this study suggests five propositions covering capabilities at 1) deal selection/screening, 2) deal structuring, 3) operational improvement, 4) investment exit, and 5) Top Management Team (TMT). These capabilities at private equity/buyout funds are critical factors for value creation. In a thorough review of the value-creation process, this paper hopes to: 1) Share real-life experiences and lessons learned on private equity transactions in China as a developing economy.2) Reveal the process of deal/transaction to observe measures taken place within deal/transaction for value creation. 3) Show how well-executed strategies and capabilities in deal selection/screening, deal structuring, operational improvement, and investment exit can still create value for private equity firms without financial leverage. 4) Share the experience of State-Owned Enterprises (SOE) reform participated in by private equity firms in China. This could provide valuable information for policy makers in China.

The interference of limited partners in a fund's management triggers internal conflicts between partners. This article examines the legal and practical reasons for this phenomenon. Based on extensive interviews with market participants, it is found that the agency problems, the legal weaknesses of limited partners under Chinese law and several regulatory constraints on China's private equity industry have influenced the decisions of investors to pursue active strategies in funds. This article also examines the effectiveness of the control rule and a few of the common private contractual arrangements in addressing the agency problem in the context of Chinese private equity funds, and suggests strategies to mitigate the problem.

Book excerpt: Investments by funds in the equity of non listed companies represent a crucial activity of capitalism of the 21st Century. This thesis provides a thorough study on the development and the characteristics of private equity funds operating in China. It applies the framework of institutional analysis and follows the logic of the varieties of capitalism while using a multi-disciplinary approach. We develop a comparative study on Chinese, French and British private equity funds based on the institutional differences among the economic models of the three countries. Our analysis suggests that the specificity of the economic development of China is mainly related to the role of the Chinese state, the importance of guanxi in the sphere of business and the great market complexity created by the “path of dependence”. Accordingly, for private equity in China we observe a stronger influence of the Chinese state, an extensive impact of guanxi, a more diverse use of information sources, a more limited choice of financial tools, and the preference of Chinese entrepreneurs to keep control of their firms. Our econometric study indicates that the rigidity of labor market, economic openness and taxation on company profits have the greatest impact on the activity of the funds and that in comparison with France, the UK and the US, China has stronger coefficients for the factors of GDP growth, household consumption growth, political stability and infrastructure.
