The defendant agreed to pay insurance on the lives of its policy holders, and the policy is not only within the express terms of the act, but such Insurance was manifestly within the contemplation of the Legislature which passed it. 2, 3 In view of the application of the act to such insurance were the misrepresentations of the insured material and fatal to a recovery by the plaintiff? In the appllcatiou of the Insured he warranted that the statements made were true, and agreed that, if any of those made in the schedule of warranties were untrue, the policy would be void. Item No. 7 of the application was. "I have no insurance in this company and no other health or accident insurance, nor have I any other application therefor pending except as herein stated. V" No exception followed this statement, but in the space left for the answer was the check mark indicated. The statement was untrue, in this, that he had applied for insurance in another health and accident company 16 days before the application herein was made. No certificate had been received by him from the other company at the time of the application to the defendant company, but a certificate was issued under the former application 6 days afterwards, and of that application and certificate the defendant had no notice until after the death of the insured. Item No. 9 was: "I have never received indemnity for accident or illness except as herein stated. V" No exception was named, but following the statement was the V-shaped cheek mark. As the stockholders have no beneficial interest in J the assets of an insolvent corporation, they cannot be affected by the fraud of the directors in the management of its property, or in dealing with it in their personal capacity, or in using their powers for the purpose of obtaining some advantage to themselves or some preference over other creditors. In such case the creditors alone are affected by the fraud of the directors, and they alone have an interest in avoiding their contracts or dealings, and in compelling them to account for the profits made or advantages gained. The plaintiffs, therefore, as creditors of the Union.Milling Company, are entitled to bring a suit in equity against the defendants, as its directors, to compel them to account for the management of its assets; or. if the defendants have been dealing with the trust property in their personal capacity, --that Is, have been operating the mill for their own private advantage, without regard to the interest of the creditors, --to require them to account for the profits made by a violation of duty. Tax 37.92; Pen. 379; Poll and road 6; special school district 4, 9.48; Pen..95; Adv. 1.25 $58.39." The total tax for the years 1900 and 1901 was the sum of $58.39, and it was for the payment of this sum that the property was sold at tax sale on July 21, 1902, and a tax deed was Issued In pursuance of such sale dated October 10, 1905, to Elmore county, and on the 13th day of July, 1910, Elmore county made a commissioner's deed to the appellant for the same property, to wit, S. % S. W. %, N. E. % S. W. %, section 13, 120 acres. It will be observed, also, from the assessment roll of 1901 that the assessor apparently made an assessment of all the land in sections 13 and 24, including 160 acres belonging to Fred E. Whitney, and fixed the value of such real property at $400, and this assessment was made likewise for the year 1900; and, after such assessment was made, this assessment appears from the face of the assessment roll to have been changed, and the acreage in section 24 was stricken from such roll, leaving the land assessed to Whitney In section 13, consisting of 120 acres, but the valuation was afterwards reduced In the sum of $28 by the state board of equalization.
