Book excerpt: In 2001, the Malaysian Code on Corporate Governance (MCCG) became an integral part of Bursa Malaysia Listing Rules, which requires all listed firms to disclose the extent of compliance with MCCG. Our panel analysis of 440 firms from 1999 to 2002 finds that the corporate governance reform in Malaysia has been successful, with a significant improvement in governance practices. The relationship between ownership by Employees Provident Fund (EPF) and corporate governance has strengthened in periods subsequent to the reform, in line with the lead role taken by EPF in establishing the Minority Shareholders Watchdog Group. The implementation of MCCG has a substantial effect on shareholders' wealth, increasing stock prices by an average of about 4.8%. Although there is no evidence that politically connected firms perform better, political connection has a significantly negative effect on corporate governance, which is mitigated by institutional ownership.

Book excerpt: In 2001, Malaysia experienced two important events which have significant implications for firms' corporate governance in the country. The first is the integration of the Malaysian Code on Corporate Governance (MCCG) as part of Bursa Malaysia Listing Rules, and the second is the establishment of the Minority Shareholder Watchdog Group (MSWG), which emphasises the role of institutional investors in promoting shareholders activism. Spurred by these significant changes in the corporate governance landscape, this study examines the relationship between corporate governance structures, institutional ownership and firm performance for 440 Bursa Malaysia listed firms from 1999 to 2002. Our panel analysis finds that the corporate governance reform in Malaysia has been successful, with a significant improvement in governance practices. The implementation of the MCCG has a substantial effect on shareholders' wealth, increasing stock prices by an average of about 10%. In addition, we find that institutional investors have a positive impact on firms' corporate governance practices, and the relationship is strengthen in periods subsequent to the governance reform.

Book excerpt: This paper measures corporate sector performance (efficiency) and empirically examines the role of corporate governance. A stochastic frontier with inefficiency effects is fitted to a panel dataset of 31 of the largest nonfinancial companies listed on the Kuala Lumpur Stock Exchange for the period 1995 to 1999. Focusing specifically on the impact of the system of corporate governance and the level of control on firm-level performance, results show an underlying vulnerability in these firms, exacerbated by their reliance on bank-based borrowing and a highly concentrated shareholding structure with complex cross holdings. Furthermore, debt does not appear to have the control features present in outsider systems of corporate governance.
