It shows potential changes in a bank's risk exposure and how these can affect a merged bank's value. It provides a theoretical consideration as well as a review of empirical studies. The result is that a merger might lead to a risk benefit. In this case, there is, c.p., potential for a value increase. Empirically, risk benefits were either absent or offset by managers' higher risk taking.

Available in PDF, EPUB and Kindle. Book excerpt: This paper seeks to examine the determinants of the performance of Latin American banks during the period 1995-2010. The sample of banks is representative of the Latin American region because it includes small and large economies with different levels of development in their financial markets (Argentina, Bolivia, Brazil, Chile, Colombia, Costa Rica, Salvador, Mexico, Nicaragua, Panama, Paraguay, Peru, and Venezuela). The empirical analysis combines intra-bank determinants of its performance (bank-based variables) and extra-bank variables (institutional-based exogenous variables) through the GMM system estimator. The results report remarkable findings. First, that there is a non-monotonic, inverse U-shaped relationship between the capital ratio and profitability, supporting the efficiency-risk, franchise-value, and agency cost hypotheses. Second, asset diversification impacts positively the banks' performance. Third, the high concentration of the banking sector in Latin America caused by the financial liberalization and the mergers during the period of analysis, as well as the international investment (mainly from US and EU), allows banks to take advantage of immature financial markets and generate monopolistic profits. Fourth, despite of all these factors, the results uncover evidence that the measures taken in order to improve market competition such as enforcement of the regulation and transparency have resulted in lower profits for the banking industry. The paper draws some direct policy implications particularly focused on the removal of some remaining barriers to competition in the banking sector.

Book excerpt: The paper focuses on the impact of diversification on bank performance and how consolidation through mergers and acquisitions (M&A) affects the banking sector’s stability in the Eastern Caribbean Currency Union (ECCU). The paper finds that a lower level of loan portfolio diversification explains higher non-performing loans and earnings volatility of indigenous banks, as compared to foreign competitors in the ECCU. We then simulate bank mergers both within and across ECCU countries by combining individual banks’ balance sheets. The simulation shows that a typical indigenous bank could better diversify against its idiosyncratic risk by merging with other banks across the border. In addition, we point out that M&A, leading to a more asymmetric banking sector, may increase systemic risk.

Book excerpt: This bachelor thesis analyses efficiency effects of mergers and acquisitions in the US banking industry. For that reason 99 mergers and acquisitions are examined that have taken place during 2000-2010. Performance-adjusted accounting data of 99 US acquirers is analyzed in a univariate research model on the one hand and in a multivariate multiple-linear-regression model on the other hand. Results suggest that there is no observable improvement in post-merger efficiency and post-merger performance. In fact, performance even worsens slightly in the post-merger period. Merging banks are facing increasing costs while income does not change significantly. This decrease in performance is attributable to the negative effects of the financial crisis, which had a significantly negative influence on post-merger performance of merging banks.

Book excerpt: Using a sample of over 700 banks in Latin America, we show that international financial liberalization lowers bank capital ratios and increases the shares of short-term funding. Following liberalization, large banks substitute interbank borrowing for equity and long-term funding, whereas small banks increase the proportions of retail funding in their liabilities, which have been particularly vulnerable to flight-to-quality during periods of financial distress in much of Latin America. We also find evidence that riskier bank funding in the aftermath of financial liberalizations is exacerbated by asymmetric information, which rises on geographical distance and the opacity of balance sheets.

Book excerpt: We examine a large panel of more than 100 banks from Argentina to study the effects of bank consolidation on performance between December 1995 and December 2000, a period of heavy bank consolidation and relative calm. Overall, we find a positive and significant effect of bank consolidation on bank performance. Bank returns increase with consolidation, and insolvency risk is reduced. Additionally, the study suggests that mergers and privatizations have a beneficial effect on bank returns. The effects of a bank acquisition on return on equity is, however, negative. Acquisitions do not seem to have any effect on risk-adjusted returns. The study also finds that a bank''s insolvency risk is reduced significantly through mergers and privatization and is unrelated to bank acquisitions.
