Book excerpt: This two-part article considers the extent to which UK company law and takeover regulation may have contributed to the supposed short-termism exercised by target directors in takeovers, that is, target directors focusing only on short-term financial gain to the current shareholders, rather than the target's long-term wealth creation. This article argues that general company law and takeover regulation do not mandate target directors to strictly prioritise the short-term financial interests of the company when determining whether to recommend a particular takeover bid. While company law and takeover regulation require the target board to consider stakeholders' interests, neither shareholders nor stakeholders have an enforceable right of action against the directors in connection with their failure to do so.

Book excerpt: This book is a survey and critique of the major theories of financial crises. The first edition built a model of crisis from an analysis of postwar financial crises in the US through the mid-1980s. The second edition continues the story from 1985 and covers the stock market crash of 1987, the collapse of the Savings and Loan industry, the severe problems of US commercial banks, and the increasing risks posed by junk bonds. A new chapter analyses the causes of increasing financial instability in the 1980s. The book's extensive charts and tables are fully revised and updated to present the latest evidence. The first edition has gained wide interest as a supplemental text.

Book excerpt: The onset of the Great Financial Crisis in 2007/8 has triggered a widespread debate about the causes and the social and environmental consequences of the lack of long-term investment around the world. This volume, the third in the Sustainable Company book series produced by the GOODCORP network of academic and trade union experts on corporate governance, presents a ‘stakeholder’ approach to the problem. The analysis and policy prescriptions presented here go beyond mainstream economic analysis by highlighting the need for major changes in the way resources are saved, distributed and invested in the interests of a sustainable and just economy and society. Individual chapters explore different dimensions of the problem of short-termism and possible policy responses. Key themes in this volume include the state of the debate on long-term investment in Europe, increasing worker voice in pension fund investment and implementing financial transaction taxes to discourage financial market speculation. Policy proposals beyond the mainstream include strengthening worker participation rights (including the right to non-financial information from companies) and using international investment treaties to support social and environmental standards.

Book excerpt: R&D Decisions, Strategy, Policy and Innovations explores how research and development decisions affect all of us. They are linked inextricably to the performance of firms and of economics as a whole. Their importance means that they are of concern to a large number of practitioners, policy-makers and researchers. This book demonstrates the range of issues and perspectives which R&D can encompass and at the same time brings out the elements which unite them. The papers in this book are organized into three main sections: * Strategy and Organization explores the importance of R&D and of the structures and strategies of individual organizations. The emerging 'core competence paradigm' is especially noted. * Policy and Performance looks at what new thinking on R&D more generally implies for government policy and the performance of industries, regions and economies. * Disclosure and the Market examines issues raised by changing regulations on the disclosure of R&D expenditure.

Book excerpt: Consideration of harmful short-termism in capital markets is prevalent amongst legal and business academics. It is also garnering increased attention in corporate board rooms and executive suites, and from the investing public. As a result, correcting perceived short-termism in capital markets has become a rationale for reform used by regulators across the globe. Despite the considerable attention given to this phenomenon, there has not yet been a comprehensive book analyzing the perceived short-termism problem, its sources and causes, and reform efforts undertaken to date. This book fills this gap by documenting the rise of the short-termism discussion, analyzing the significance of the problem, and considering the proposed legal remedies. Based on this analysis, a framework for effective short-termism reform is offered.

Available in PDF, EPUB and Kindle. Book excerpt: Transforming conflict through social and economic development examines lessons learned from the Northern Ireland and Border Counties conflict transformation process through social and economic development and their consequent impacts and implications for practice and policymaking, with a range of functional recommendations produced for other regions emerging from and seeking to transform violent conflict. It provides, for the first time, a comprehensive assessment of the region's transformation activity, largely amongst grassroots actors, enabled by a number of specific funding programmes, namely the International Fund for Ireland, Peace I, II and III and INTERREG I, II and IIIA. These programmes have been responsible for a huge increase in grassroots practice which to date has attracted virtually no academic analysis; this book seeks to fill this gap. In focusing on the politics of the socioeconomic activities that underpinned the elite negotiations of the peace process, key theoretical transformation concepts are firstly explored, followed by an examination of the social and economic context of Northern Ireland and the border counties. The three programmes and their impacts are then assessed before considering what policy lessons can be learned and what recommendations can be made for practice. This is underpinned by a range of semi-structured interviews and the author's own experience as a project promoter through these programmes in the border counties for more than a decade. The book will be essential reading for students, practitioners and policymakers in the fields of peace and conflict studies, conflict transformation, peacebuilding, post-agreement reconstruction and the political economy of conflict and those interested in contemporary developments in the Northern Ireland peace process.
