Book excerpt: Corporate Finance: Principles and Practice takes a finance-oriented approach to this body of law, instead of the typical casebook approach. Students don't learn finance from the cases; instead, they first learn financial principles, and then apply the finance they've learned to analyze and understand the cases. The book emphasizes what students will need to know as lawyers practicing in the area -- with an emphasis on the contractual solutions employed to deal with the various conflicts and ambiguities that arise in the area.

Book excerpt: The recession of the early 1990s has highlighted new corporate law problems caused in part by the recent popularity of junk bonds and leveraged buyouts. This volume examines these problems, both in the context of traditional corporate law and financial analysis, and by incorporating much of the new legal thinking on the nature and structure of the corporation. It also provides analysis of the current structure of corporate governance and suggestions for reform. Annotation copyright by Book News, Inc., Portland, OR

Available in PDF, EPUB and Kindle. Book excerpt: Corporate Finance provides coverage in a more concrete and problem-based approach than other books on the market. Robert J. Rhee distinguishes this casebook from other fine books in the field in four ways: This book is interdisciplinary in nature, providing essential coverage of the basic concepts of accounting and finance needed for a business lawyer to understand the economics of the transaction; this book facilitates ease of learning and teaching, avoiding excerpting technically dense academic writings in finance and economics, which can intimidate students and teachers; it provides a basic understanding of financial instruments to prepare students for corporate practice, including many examples of actual financial contract terms and other transactional documents taken from various sources; this book takes a business and transactional perspective, including several case studies, which give students the opportunity to analyze legal problems in the context of business transactions. New to the Second Edition: Updates to the accounting materials in Chapter 1, including a presentation of the financial statements of Google (Alphabet) and Facebook (Meta Platforms). New Delaware appraisal cases that deal with the use of the discounted cash flow method of valuation. Revisions to Chapter 7, Debt Instruments, in light of new cases and materials on indentures and covenants. Additional materials on venture capital investments. Revisions to Chapter 9, Derivatives, to focus on plain vanilla put and call options. A new Chapter 10 (Structured Finance) has been added to discuss structured finance transactions and instruments with a focus on asset securitizations and credit derivatives. Professors and students will benefit from: Clear coverage of accounting, finance, valuation, and transactional economics along with good coverage of the major categories of financial instruments (common stock, preferred stock, debt, convertible securities, and derivatives). By the end of the course, students will have a basic understanding of the business aspects of corporate financing and the legal features of the majority classes of financial instruments used in corporate financing. Materials on accounting, finance, valuation, and transactional economics are presented in a clear, accessible way. Editing and annotation of the case opinions facilitate ease of reading and learning. Case studies of actual transactions at the end of some chapters, which illustrate the real-world application of the use of various securities.

Available in PDF, EPUB and Kindle. Book excerpt: Virtually all large banks and other financial institutions in the UK and internationally are public limited liability companies whose shares are listed on one or several stock exchanges. As such, their corporate governance and, in particular, the incentives faced by their directors and senior managers are to a significant extent determined by corporate and securities law rules such as directors’ duties, directors’ liability in insolvency, takeover regulation, disclosure obligations, shareholder rights and rules on executive remuneration. At the same time, systemically important financial institutions in the UK are licensed, regulated and supervised by the Prudential Regulation Authority (PRA). This book explores the relationship between, on the one hand, the broader corporate law, corporate governance and securities law framework and, on the other, the prudential regulatory framework. Although the book’s main focus is on UK law, much of the policy argumentation is relevant globally and therefore appropriate international comparisons are drawn, and analysis of EU law and regulation is included. The book argues that the corporate law regime, which focuses on shareholder empowerment and profit maximisation, operates as an antithesis to prudential regulatory objectives thus undermining the safety and soundness of banks and other financial institutions by encouraging risky behaviour that may be in the best interests of their shareholders, but is clearly not in the public interest.

Book excerpt: This new edition retains the two organizing themes of the prior editions: that an underlying theory of the corporation is necessary to resolve any difficult questions in corporate law and that those difficult questions revolve around the tension between fiduciary obligation and contract principles that form the basis of corporate law. In addition to updating the materials presented in the second edition, the authors, including new author Jeffrey Haas, have completely streamlined and reorganized those materials in order to make learning and teaching easier. Specific changes in the third edition include: the addition of an enhanced chapter on derivative securities; the presentation within a single chapter of all materials on convertible securities; an expanded yet more focused chapter on mergers and acquisitions; and the addition of substantive materials on asset-backed securitization.
