Book excerpt: L’objectif de cette thèse est de mieux appréhender les décisions de distribution de liquidités aux actionnaires dans le cadre de la théorie de l’agence, ainsi que le choix de l’instrument de distribution : dividende ou rachat d’actions. La structure de l’actionnariat des entreprises européennes pousse à élargir le cadre classique et à étudier à la fois l’influence des conflits entre actionnaires et dirigeants, et ceux entre actionnaires majoritaires et minoritaires. Cette analyse nécessite la prise en compte des déterminants de l’intensité de ces conflits, mais aussi du système de gouvernance auquel est soumis l’entreprise. A travers une étude empirique sur les sociétés françaises du SBF250, nous montrons la pertinence de ce cadre théorique, mais aussi les limites, en France, de l’utilisation des politiques de distribution pour résoudre les conflits d’agence. Si les distributions sont utilisées pour diminuer le risque de Free Cash Flow, elles ont un effet limité face au conflit entre actionnaires majoritaires et minoritaires. Faute de mécanismes de gouvernance alternatifs et efficaces, ces derniers ne parviennent pas à provoquer des distributions, laissant ainsi l’actionnaire dominant libre de diminuer les distributions pour faciliter l’extraction de bénéfices privés. Par ailleurs, cette thèse s’intéresse au choix de l’instrument de distribution. Ainsi, conformément aux hypothèses issues de la littérature, nous montrons que le rachat est préféré lorsque les dirigeants détiennent des stock-options ou lorsque les revenus de la firme sont temporaires. En revanche, la fiscalité n’influence pas significativement le choix de l’instrument. Enfin, notre recherche souligne que le rachat est un outil de distribution peu utilisé en France et que le dividende en reste le moyen privilégié.

Cette recherche se positionne alors dans le prolongement de ces travaux en examinant les caractéristiques financières et de gouvernance susceptibles d'expliquer ce phénomène. Cependant, elle s'en différencie en mettant en évidence le rôle du cycle de vie de l'entreprise dans l'identification des périodes où les conditions de rachats sont les plus favorables.S'inscrivant dans le cadre d'une démarche hypothético-déductive, notre étude empirique est réalisée sur un échantillon de 754 programmes de rachat initiés par des firmes cotées sur le marché français entre 2002 et 2004. Afin de tester nos hypothèses de recherche, nous avons utilisé une méthodologie combinant l'analyse typologique, les tests univariés et les modèles de régression. L'examen des résultats montre certaines spécificités financières et de gouvernance des firmes qui réalisent des programmes de rachat d'actions par rapport à celles qui ne les réalisent pas. Par ailleurs, nous révélons une différence dans ces spécificités par rapport à la position dans le cycle de vie de l'entreprise. En effet, les firmes rachètent leurs actions pour couvrir leurs plans de stock-options dans les phases de démarrage et de croissance. Alors que le rachat sert à minimiser le risque des free cash-flows dans les phases de maturité et déclin. En outre, l'influence de la structure du conseil d'administration et l'actionnariat managérial sur la décision de rachat varient en fonction des phases du cycle de vie de la firme.

En effet, les actionnaires sont devenus trop nombreux, chacun d'eux détient une part faible dans le capital social et subissent par conséquent les choix des dirigeants, sans pouvoir les contrôler. Les dirigeants, quant a eux, profitent de bénéfices personnels au détriment de l'intérêt des actionnaires. Ce problème d'agence peut être résolu par la législation en vigueur, dans la mesure ou celle-ci œuvre à défendre les intérêts des actionnaires minoritaires. Pour cette raison, certaines règles mises en place en France, relatives a la configuration des capitaux propres, sont étudiées. Ils s'agit essentiellement des règles et lois qui concernent le gouvernement d'entreprises et qui régissent la structure de l'actionnariat. Celle-ci étant définie comme étant la répartition du pouvoir entre actionnaires, les principaux titres permettant de la modifier ont été passes en revue. L'analyse des choix du législateur en matière de structure de l'actionnariat a été abordé à travers la littérature relative a ce sujet. Cette analyse a permis de montrer que les choix du législateur ne concourent pas toujours à la défense de l'intérêt des petits porteurs. En effet, la distorsion entre le pouvoir et la propriété, due à l'émission de certains titres tels que les certificats d'investissement et certificats de droits de vote ou à la conversion d'actions en actions à droit de vote double, donne lieu à de supers pouvoirs pour certains actionnaires. Par ailleurs, la possibilité de la mise en place de stratégies anti-OPA, dont les entreprises françaises se sont dotées, est souvent avancée par la littérature comme une perte de richesse pour les actionnaires. Les choix du législateur peuvent être néanmoins justifiés par le désir de défendre l'intérêt social, la souveraineté de l'entreprise française ou l'intérêt des travailleurs. Les lois en vigueur ne permettant pas de résoudre de manière efficace les conflits d'intérêts entre les dirigeants et les actionnaires, nous nous sommes intéressé dans la deuxième partie à l'etude de l'impact de la prédominance de certains actionnaires sur la valeur de la firme.
