Book excerpt: This book investigates the potential of the Spanish Sociedades Laborales (SLs) as an instrument of active labour market policy for re-turning the unemployed to the labour market and also the transferability of the scheme to other EU Member States. Spanish Sociedades Laborales (SLs) – mostly small and micro enterprises – are a qualified form of conventional corporation, majority-owned by their permanent employees. Unemployed persons can capitalise their unemployment benefits as a lump sum to start a new SL or to recapitalise an existing SL by joining it. This makes SLs similar to start-up subsidies for the unemployed, an established instrument of active labour market policy across the EU. The new 2015 Law on Worker-Owned and Participatory Companies substantially modernised the concept of SLs 30 years after its inception. The book tackles two currently widely discussed policy issues at both the EU level as well as the national level, i.e., reactivating unemployed in the context of ALMP and encouraging employee co-ownership in the context of the economic reform agenda in particular with regard to corporate governance, regional economic stimuli and distributive justice.

No debe olvidarse, sin embargo, que si bien el régimen de las modificaciones estructurales no presenta ninguna peculiaridad con respecto a las sociedades laborales, las mismas pueden incidir en el cumplimiento por parte de dichas sociedades de los requisitos de los que depende el que una sociedad reciba la calificación de laboral, caso del porcentaje mínimo de participación en el capital social de los trabajadores contratados indefinidamente, el número de horas-año trabajadas por aquellos que no tengan la condición de socios, o la participación máxima que cada socio puede alcanzar en el capital social. Finalmente, se trata de una monografía que pretende facilitar un mejor conocimiento del régimen jurídico al que se sujetan las sociedades laborales.

Podr?n obtener la calificaci?n de «Sociedad Laboral» las sociedades an?nimas o de responsabilidad limitada que cumplan los siguientes requisitos: a) Que al menos la mayor?a del capital social sea propiedad de trabajadores que presten en ellas servicios retribuidos de forma personal y directa, en virtud de una relaci?n laboral por tiempo indefinido. b) Que ninguno de los socios sea titular de acciones o participaciones sociales que representen m?s de la tercera parte del capital social, salvo que: La sociedad laboral se constituya inicialmente por dos socios trabajadores con contrato por tiempo indefinido, en la que tanto el capital social como los derechos de voto estar?n distribuidos al cincuenta por ciento, con la obligaci?n de que en el plazo m?ximo de 36 meses se ajusten al l?mite establecido en este apartado. Se trate de socios que sean entidades p?blicas, de participaci?n mayoritariamente p?blica, entidades no lucrativas o de la econom?a social, en cuyo caso la participaci?n podr? superar dicho l?mite, sin alcanzar el cincuenta por ciento del capital social. En los supuestos de transgresi?n sobrevenida de los l?mites que se indican en los apartados a) y b) del presente art?culo, la sociedad estar? obligada a acomodar a la ley la situaci?n de sus socios, en el plazo de dieciocho meses a contar desde el primer incumplimiento. c) Que el n?mero de horas-a?o trabajadas por los trabajadores contratados por tiempo indefinido que no sean socios no sea superior al cuarenta y nueve por ciento del c?mputo global de horas-a?o trabajadas en la sociedad laboral por el conjunto de los socios trabajadores. No computar? para el c?lculo de este l?mite el trabajo realizado por los trabajadores con discapacidad de cualquier clase en grado igual o superior al treinta y tres por ciento. Si fueran superados los l?mites previstos en este apartado, la sociedad deber? alcanzarlos, de nuevo, en el plazo m?ximo de doce meses. El ?rgano del que dependa el Registro de Sociedades Laborales podr? conceder hasta dos pr?rrogas, por un plazo m?ximo de doce meses cada una, siempre que se acredite en cada solicitud de pr?rroga que se ha avanzado en el proceso de adaptaci?n a los l?mites previstos. El plazo de adaptaci?n en los casos de subrogaci?n legal o convencional de trabajadores ser? de treinta y seis meses, pudiendo solicitarse igualmente las pr?rrogas previstas en este apartado.
