This book argues that investors are more than passive providers of finance, on whose behalf managers seek to maximize shareholder returns. Instead, many investors directly influence management practice, through investor engagement. The book examines the role of institutional investors and private equity firms, two types of investors with overlapping but different reasons for engagement. Questions addressed include: What are the incentives, and disincentives, for investment engagement? How is investor engagement organized? What areas of management practice are of particular concern to investors? The discussion shows in detail how private equity firms play a major role in developing new companies, beyond the provision of finance, especially in the IT, biotechnology, and pharmaceutical sectors. The discussion is primarily based on British and US research. The debate has wider international relevance, because there are strong pressures for establishing shareholder value as the international 'norm' for systems of corporate governance. Following a detailed discussion of Germany, the authors conclude that there is no inevitable trend to shareholder value: shareholder value depends upon complementary institutional arrangements in national business systems, which are far from universal. The book concludes with a critical analysis of the justifications for shareholder value and investor engagement, highlighting the weaknesses of both efficiency and equity justifications.

Book excerpt: Abstract: This article analyzes the conflict of interests between shareholders and other stakeholders, including when such conflicts of interests may arise. It is argued that shareholder value cannot be justified simply by referring to any prerogative property rights of the shareholders. Instead, shareholder value coincides with the efficient hypothetical perfect contract. However, due to contractual failures in certain bargain situations, management may be unable to "internalize the firms externalities". This means that in these situations there is a tradeoff between a broad duty of loyalty for management in listed firms and other traditional remedies. The theoretical insights are applied on a case from the Danish Supreme Court (Louis Poulsen A/S) where the interests of the stakeholders were decisive. However, it is shown that the verdict may instead harm the relevant stakeholders illustrating how cautious the legal system should use a doctrine based on the "company's interests". In addition, the notion of a firm's social responsibility is critically evaluated together with the associated pitfalls of accepting this concept.

UNCCD is based on a conceptualization of international relations that transcends to a large extent the traditional notions of inter-governmental treaties. Such policy concepts are known under the framework of Global Governance as they allocate political action rather to the horizontal level ñ implying multi-actor-networks and the civil society ñ than to vertical or top-down processes. The study first shows that ñ inspired by the Brundtland Report and the emerging process of globalization ñ Rio was the peak season for Global Governance concepts that found their way into treaties and triggered structural reform, thus shaping a different reality of multilateral cooperation. In a second step, the book shows that the Convention to Combat Desertification is the most Global Governance oriented of all of UNCEDís outcomes. Its legally binding text contains a number of pertinent elements, ranging from a stringent cross-over of environment and development issues, via the 'bottom-up approach', to a mix of policy tools such as mainstreamed national action programmes and partnership agreements.

The first group is mainly interested in the question of how learning comes about; the second group is predominantly interested in the search for factors affecting learning.
