Although the concept of “ride-sharing” only just emerged in 2010, it has rapidly gained popularity and expanded across the globe, offering a new way to get around major cities via a mobile application that instantly links drivers and passengers through the phone's GPS system. At the forefront of this movement is Uber -- the multibillion-dollar company and pioneer of ride-sharing that has experienced unprecedented growth and success in its short existence. However, Uber's expansion into most major cities across the United States has not been free of controversy or difficulties. For example, Uber has received major pushback from the taxi industry, which was once virtually free of competition, but is now quickly losing its grasp as a popular mode of transportation in the markets Uber has expanded into. In addition, city and state regulators in highly-regulated markets such as Miami, Florida have created significant legal hurdles for companies like Uber to enter into new markets based primarily on the regulators' inability to fit these innovative companies into existing regulations for taxis, resulting in a legal gray area. This article will examine the development of the immensely popular and controversial ride-sharing industry. Specifically, this article will focus on the unprecedented growth of the ride-sharing industry's pioneer, Uber, and the legal hurdles Uber has encountered while expanding into highly-regulated markets, which have resisted this new collaborative form of transportation that has now become synonymous with “taking an Uber.”

Here was a high-tech transportation service that seemingly did everything better than taxicabs: it was more convenient, more accessible, more comfortable, and even cheaper in many instances. Uber's initial success inspired a number of lower-cost, non-professional “ridesharing” options, which have flourished. Some skeptics, including taxicab operators, have decried the arrival of these peer-to-peer ridesharing services, now classified by regulators as Transportation Network Companies (TNCs). While such complaints could be easily dismissed as the dying groans of a “disrupted” industry, a string of passenger safety incidents has raised doubts about whether these services are ready to safely replace traditional transportation services. One critical gray area for consumers is whether injured parties can recover from TNCs rather than their drivers alone. This Note argues that TNCs should be liable for acts of their drivers, and it provides a novel approach -- the nondelegable duty rule -- that has yet to be argued by plaintiffs in existing cases. Such an approach will place responsibility where it should be: on the companies profiting from the drivers and passengers. More importantly, preventing TNCs from exploiting regulatory loopholes has broader implications for the rapidly growing “sharing economy.”

As Uber grows in widespread use, injuries involving rides arranged through Uber have been on the rise. Uber maintains that it is a technology platform that connects users on its app, not a transportation company. Such a characterization would render Uber immune from suits for injuries involving the ride arrangements under the Communications Decency Act, 47 U.S.C. § 230 (2012). The statute offers robust protection for web-based companies from liability for content provided by third parties. This article seeks to consider whether Uber's business model properly allows it to be under the protection of the Communications Decency Act. Given Uber's roles in setting the price for the ride and in heavily controlling the connection between passenger and driver, this article argues that more than a platform, Uber is a content provider in the ride-sharing arrangement and is thus disqualified from Communications Decency Act immunity.

Resale price maintenance, non-linear pay practices, withholding data, and conditioning data access on maintaining a minimum acceptance rate all curtail platform competition, sustaining a high-price, tacitly collusive equilibrium among the few incumbents. Moreover, concealing relevant trip data from drivers is both deceptive and unfair when the platforms are in full possession of the relevant facts. In the absence of these coercive practices, customers too would be better-off due to platform competition that would lower average prices by sharpening competition between incumbents, enable entry by rivals charging lower take rates, and unravel pervasive price discrimination. Coercive practices in the rideshare industry and elsewhere, and the business models they enable, result from the preference for hierarchy and domination inherent in the contraction of liability for vertical restraints since the 1970s.

Book excerpt: "This thesis analyzes the current regulation of the ridesharing economy in China and the U.S. by examining legal practices and rules not only from these two countries but also from the U.K and several provinces of Canada, including Ontario and Alberta. The analysis begins by describing the development of the ridesharing economy and identifying the practical and theoretical challenges that it poses for the current regulatory framework. There are three major participants of modern ridesharing services: private vehicle drivers, passengers, and technology network companies (TNCs). Because of the legal uncertainties surrounding the relationships among the participants, ridesharing drivers usually work within less regulated legal frameworks, which is why traditional taxi drivers often complain that their competition with ridesharing drivers is unfair. Hence, this thesis first addresses questions regarding the role of TNCs and the relationship between drivers and passengers. The thesis uses vertical and horizontal comparative methodologies to analyze the regulation of the ridesharing economy as follows: (i) Through a vertical comparison with regulations of the traditional taxi industry, the thesis analyzes previous regulatory frameworks from the perspective of taxi regulations and the legal classification of taxi services; then, it assesses the appropriateness of applying these previous regulations and legal classifications to the modern ridesharing industry. (ii) Through a horizontal comparison between China and the U.S., this thesis first explores the general regulatory frameworks in these two countries and then further illustrates their current regulations and practices by analyzing key criteria of their regulations - i.e., rules regarding insurance, driver integrity and private record keeping - in several provinces of China and states in the U.S. Focusing on these key criteria, regulations in the U.K. and Canada are used as additional examples to provide more options for the construction of new legal frameworks in both China and the U.S.In addition to examining key criteria that have been established by existing regulations, this analysis extends to a study of regulatory problems that remain unresolved by current regulations in both China and the U.S., including problems related to disabled passengers, tip regulations, and most importantly, phenomena that will influence the labor market and monopoly laws in the future. Are ridesharing services essentially the same as traditional taxi services? Are regulators responsible for turning ridesharing services into another kind of taxi service merely by applying the same regulations? After careful analysis, this thesis answers these two questions by offering conclusions regarding the responsibility of regulators to level the rights in various markets. The conclusions are influenced by a study from the Mowat Centre of the University of Toronto. A balanced assessment of the impacts of new regulatory frameworks is needed to eventually meet the needs of a range of interested parties. Starting from this understanding, this thesis offers several remedies for governmental policymakers and regulators of TNCs, which will be useful for future research and help to enhance the understanding of the current situation before new legal frameworks are developed." --
