Book excerpt: Responsibilities of Boards of Directors, Corporate Practices and Corporate Governance Matters (US Federal Housing Enterprise Oversight Office Regulation) (OFHEO) (2018 Edition) The Law Library presents the complete text of the Responsibilities of Boards of Directors, Corporate Practices and Corporate Governance Matters (US Federal Housing Enterprise Oversight Office Regulation) (OFHEO) (2018 Edition). Updated as of May 29, 2018 The Federal Housing Finance Agency (FHFA) is amending its regulations by relocating and consolidating certain regulations of its predecessor agencies-the Federal Housing Finance Board (Finance Board) and Office of Federal Housing Enterprise Oversight (OFHEO)-that pertain to the responsibilities of boards of directors, corporate practices, and corporate governance matters. The OFHEO regulations addressed corporate governance matters at the Federal National Mortgage Association (Fannie Mae) and the Federal Home Loan Mortgage Corporation (Freddie Mac) (collectively, the Enterprises), while the Finance Board regulations addressed the powers and responsibilities of the boards of directors and management of the Federal Home Loan Banks (Banks). The final rule consolidates most of those regulations into a new FHFA regulation, parts of which will apply to both the Banks and the Enterprises (together, regulated entities), and parts of which will apply only to the Banks or only to the Enterprises. Most of the content of the new regulations has been derived from the regulations of the predecessor agencies, with such modifications as are necessary to apply the regulations to all of the regulated entities, to respond to issues raised by the commenters, or to clarify the regulatory text. The final rule also amends the Prudential Management and Operations Standards (Prudential Standards) provisions by designating certain introductory language-which pertains to the general responsibilities of senior management and boards of directors-as a separate Prudential Standard. The final rule also repeals a provision of the OFHEO regulations that related to minimum safety and soundness requirements for the Enterprises. This book contains: - The complete text of the Responsibilities of Boards of Directors, Corporate Practices and Corporate Governance Matters (US Federal Housing Enterprise Oversight Office Regulation) (OFHEO) (2018 Edition) - A table of contents with the page number of each section

A primer on what corporate board members should be doing: expert guidance on advisory and monitoring functions, compliance, fiduciary duty, independence, and more. When asked what areas directors should pay most attention to, other than profitability and shareholder value, directors list future growth, risk management, and development of human capital as top priorities. Other areas of focus include cultural development, executive compensation, and compliance. Still, some evidence indicates that directors prefer advisory functions to monitoring functions....

Book excerpt: Having focused heavily on Sarbanes-Oxley requirements and more rigorous corporate governance and compliance standards, U.S. corporate boards are now beginning to assess their evolving role in providing oversight in the area of enterprise risk management (ERM).This paper documents how boards of directors are moving from their current focus on internal control to a more comprehensive ERM program. The research was conducted between November 2005 and February 2006, and consisted of a survey of 127 board members, follow-up personal interviews with a number of them, and a comprehensive analysis of Fortune 100 companies' board committee charters.Specifically, the paper elaborates on the following research findings:- Evolving legal developments make it prudent for directors to ensure they have a robust ERM oversight process in place- An increasing number of directors acknowledge they must oversee business risk as part of their strategy-setting role- Directors should consider making improvements in their ERM oversight processes- Sound ERM oversight and implementation practices are now recognizable in a number of leading companies, and- Corporations may be looking at best-in-class peers for emerging practices in ERM oversight.

Available in PDF, EPUB and Kindle. Book excerpt: The Financial Crisis Inquiry Report, published by the U.S. Government and the Financial Crisis Inquiry Commission in early 2011, is the official government report on the United States financial collapse and the review of major financial institutions that bankrupted and failed, or would have without help from the government. The commission and the report were implemented after Congress passed an act in 2009 to review and prevent fraudulent activity. The report details, among other things, the periods before, during, and after the crisis, what led up to it, and analyses of subprime mortgage lending, credit expansion and banking policies, the collapse of companies like Fannie Mae and Freddie Mac, and the federal bailouts of Lehman and AIG. It also discusses the aftermath of the fallout and our current state. This report should be of interest to anyone concerned about the financial situation in the U.S. and around the world.THE FINANCIAL CRISIS INQUIRY COMMISSION is an independent, bi-partisan, government-appointed panel of 10 people that was created to "examine the causes, domestic and global, of the current financial and economic crisis in the United States." It was established as part of the Fraud Enforcement and Recovery Act of 2009. The commission consisted of private citizens with expertise in economics and finance, banking, housing, market regulation, and consumer protection. They examined and reported on "the collapse of major financial institutions that failed or would have failed if not for exceptional assistance from the government."News Dissector DANNY SCHECHTER is a journalist, blogger and filmmaker. What if workforce diversity is more than simply the right thing to do? What if it can also improve the bottom line? Because it can. The autuor presents overwhelming evidence: teams that include different kinds of thinkers outperform homogenous groups on complex tasks, producing what he calls diversity bonuses. These bonuses include improved problem solving, increased innovation, and more accurate predictions - all of which lead to better results. Drawing on research in economics, psychology, computer science, and many other fields, the book also tells the stories of businesses and organizations that have tapped the power of diversity to solve complex problems. The result changes the way we think about diversity at work-and far beyond

Book excerpt: Using detailed information on lobbying and mortgage lending activities, we find that lenders lobbying more on issues related to mortgage lending (i) had higher loan-to-income ratios, (ii) securitized more intensively, and (iii) had faster growing portfolios. Ex-post, delinquency rates are higher in areas where lobbyist' lending grew faster and they experienced negative abnormal stock returns during key crisis events. The findings are robust to (i) falsification tests using lobbying on issues unrelated to mortgage lending, (ii) a difference-in-difference approach based on state-level laws, and (iii) instrumental variables strategies. These results show that lobbying lenders engage in riskier lending.
