Les termes de dépénalisation et de pénalisation étonnent tout d'abord par leur opposition et par l'antithèse qu'ils forment. L'utilisation du préfixe de- provoque leur antonymie, en indiquant l'éloignement, le recul. La pénalisation serait l'avancée du droit pénal, le dépénalisation son retrait. L'analyse de ces notions s'inscrit par conséquent dans le courant de pensée qui identifie un phénomène et son inverse, comme le droit et le non-droit, la réglementation et la déréglementation. Appliquée à la reforme du Code pénal, l'étude de ce double mouvement devait s'inscrire immanquablement dans une approche quantitative, cela pour mesurer le degré de coercition du nouveau code par rapport à son aîné. Or, cette analyse s'est révélée insuffisante, la domination pouvant se réaliser de façon détournée. En effet, la qualité des mouvements de dépénalisation et de pénalisation influe sur leur domaine respectif. Les conclusions apportées dans un premier temps allaient ainsi être démenties par une approche plus originale, mais plus spéculative, s'appuyant sur la qualité de la règle de droit. L'étude du double mouvement de dépénalisation et de pénalisation dépassait alors le simple cadre pénaliste pour empiéter dans d'autres disciplines juridiques, comme le droit civil ou le droit des sociétés. Le sujet imposait, en définitive, des remarques sur l'évolution contemporaine du droit répressif, marquée par la codification, le principe de la légalité apparaissant ainsi sous un jour nouveau.

Bentham became increasingly active in the cause of law reform, and exchanged a series of letters on the subject with Robert Peel, the Home Secretary, and Henry Brougham.
