Available in PDF, EPUB and Kindle. Book excerpt: This book examines the treatment of joint ventures (JVs) in EU Competition Law, and at the same time provides a comparison with US law. It starts with an analysis of the rather elusive concept of JV, encompassing both concentrative JVs (subject to merger control) and non-concentrative JVs. Although focused on possible definitions of joint ventures in terms of competition law, it also includes a broader perspective (going beyond competition law) on the different legal models of structuring cooperation links between undertakings. At the core of the book is an attempt to build an analytical model for the assessment of JVs in terms of antitrust law, especially as regards Article 101 of the TFEU. The analytical model used proposes a set of sequential analytical levels, taking into account structural factors and specific factors related to the main constituent elements of the functional programmes of JVs. The model is applied to a substantive assessment of four main types of JVs identified on the basis of their prevailing economic function: research and development JVs; production JVs; commercialization JVs; and purchasing JVs. Also covered are particular situations of joint ownership of undertakings falling short of joint control. In the concluding part of the book recent developments in JV antitrust law are put into context within the wider reform of EU Competition Law. The book is also comprehensively updated with the latest developments concerning the reform of the EU framework of horizontal cooperation between undertakings that took place at the end of 2010.

Book excerpt: The Cumbres & Toltec Scenic Railroad has operated for more than three decades as a tourist ride over the breathtaking Cumbres Pass, ten thousand feet above sea level in the Rocky Mountains. The sixty-four miles of the former San Juan Extension of the Denver & Rio Grande Western Railway were saved twice by volunteers from the railroad graveyard. In 1970, the States of Colorado and New Mexico bought the railroad, which runs from Chama, Rio Arriba County, New Mexico, to Antonito, Conejos County, Colorado. New Mexico historian and C&TSRR commissioner and spokesman Spencer Wilson offers an insider's account of this triumphant tale of historical preservationists succeeding on an impressive scale.

Available in PDF, EPUB and Kindle. Book excerpt: Looks at the rollout of one of the largest infrastructure programs in human history to show how local governments play a complex role. China's high-speed railway network is one of the largest infrastructure programs in human history. Despite global media coverage, we know very little about the political process that led the government to invest in the railway program and the reasons for the striking regional and temporal variation in such investments. In Localized Bargaining, Xiao Ma offers a novel theory of intergovernmental bargaining that explains the unfolding of China's unprecedented high-speed railway program. Drawing on a wealth of in-depth interviews, original data sets, and surveys with local officials, Ma details how the bottom-up bargaining efforts by territorial authoritieswhom the central bureaucracies rely on to implement various infrastructure projectsshaped the allocation of investment in the railway system. Demonstrating how localities of different types invoke institutional and extra-institutional sources of bargaining power in their competition for railway stations, Ma sheds new light on how the nation's massive bureaucracy actually functions.
