Principe d’évaluation des dommages-intérêts dans les systèmes de Common Law, la mitigation of damages se mue très rapidement en une obligation positive d’agir, pour le plus grand bonheur du défendeur, en réduction de la dette de réparation. Un exemple permettra de l’illustrer. Voici Primus, vendeur d’oranges et Secundus, l’un de ses clients et exploitant d’un petit commerce de quartier. Primus et Secundus ont passé un marché aux termes duquel le premier vendrait au second vingt kilos d’oranges à un prix déterminé. Mais, le jour prévu pour la livraison, Primus annonce à Secundus qu’il n’est pas en mesure de lui fournir la marchandise promise. Et ce dernier doit, à son tour, renoncer à fournir ses propres clients. Admettons que, selon le droit applicable, Secundus puisse demander l’indemnisation pécuniaire de la perte subie.
