La reforma se enmarca en un proceso paralelo al que se ha dado en otros ordenamientos de nuestro entorno y que vienen afectando al régimen de las sociedades de capital y, en particular, al de las sociedades cotizadas. En el curso del proceso legislativo se han ido decantando algunas dudas que surgirán en el curso de su aplicación y que previsiblemente aumentarán en el futuro. Las nuevas normas permiten identificar insuficiencias, lagunas e, incluso, alguna incoherencia. La incertidumbre sólo podrá superarse cuando los tribunales y los autores consoliden una interpretación homogénea. El Despacho quiere poner de manifiesto su interés por esta importante reforma realizando un primer estudio de aproximación a todas las cuestiones que se han modificado. Se pretende con ello identificar los problemas que suscita la reforma y avanzar soluciones interpretativas razonables. Como es obvio, el comentario no busca ser un estudio doctrinal, sino una obra de alcance eminentemente práctico que permita contrastar el alcance de la nueva regulación sobre la base del conocimiento del estado precedente de la cuestión en la jurisprudencia y la doctrina.

Los artículos que se comentan en este libro han de ser ineludiblemente tenidos en cuenta por quienes operan en el tráfico mercantil actual, porque en su mayor parte inciden sobre dichas sociedades sin distinción de tipos o modalidades y, en algún caso, específicamente sobre las sociedades anónimas, estén o no admitidas a cotización. La reforma atañe a los órganos de la sociedad, junta general y órgano de administración. La renovada distribución de competencias entre ellos, el régimen de algunos derechos de socio, la remuneración de los administradores, sus deberes y su responsabilidad, constituyen materias que afectan a la tarea diaria del aplicador del Derecho, sea en el asesoramiento a las sociedades, sea en la solución de los conflictos suscitados por su aplicación en vía judicial o arbitral. El comentario ha sido redactado por un reducido grupo de catedráticos de Derecho mercantil, con amplia experiencia en la aplicación profesional del Derecho de sociedades A destacar: - La reciente reforma de la ley de sociedades de capital incorpora cambios muy relevantes en el régimen orgánico de todas las sociedades de capital. Después de la reforma buena parte de los conocimientos adquiridos deben ser puestos en cuestión. - Este comentario del nuevo régimen se ha realizado por un grupo de reputados catedráticos de derecho mercantil. Pero no está exento de una clara visión práctica derivada de su conexión con el mundo profesional. - Constituye además un estricto trabajo colectivo. Los comentarios son imputables a cada uno de los seis autores. Sin embargo, fueron analizados y debatidos en intensas sesiones de trabajo con la participación de todos ellos.
