Une première partie est centrée sur la compréhension de l’égalité des associés, un principe fondateur visant l’équilibre contractuel dans la formation et l’exécution même du contrat de société. D’une part, l’égalité des associés est appréhendée à travers ses fondements à savoir le contrat de société, l’homogénéité et l’équité. D’autre part, les manifestations du principe d’égalité des associés sont perceptibles par l’accès et la participation des associés dans les sociétés commerciales, la protection dudit principe par le législateur communautaire africain. Une deuxième partie met l’accent sur une réflexion critique du principe d’égalité des associés. La construction de ce principe demeure inachevée, le législateur communautaire africain étant un homme pressé, n’ayant pas tiré toutes les conséquences de ce principe dont l’application pose de véritables difficultés. La finalité égalitaire est entamée tantôt par un vide législatif, tantôt par le comportement des associés, les obstacles de fait et de droit. Nous sommes favorables à l’adoption des réformes nécessaires telles que le renforcement du droit des sociétés commerciales de l’OHADA, du rôle des associés et des organes de contrôle susceptibles d’améliorer l’application plénière dudit principe d’égalité des associés dans le droit uniforme africain des sociétés commerciales.

Book excerpt: In 2009, the International Labour Organization (ILO) celebrated its ninetieth anniversary. The First World War and the revolutionary wave it provoked in Russia and elsewhere were powerful inspirations for the founding of the ILO. There was a growing understanding that social justice, in particular by improving labour conditions, was an essential precondition for universal peace. Since then, the ILO has seen successes and set-backs; it has been ridiculed and praised. Much has been written about the ILO; there are semi-official histories and some critical studies on the organization's history have recently been published. Yet, further source-based critical and comprehensive analyses of the organization's origins and development are still lacking. The present collection of eighteen essays is an attempt to change this unsatisfactory situation by complementing those histories that already exist, exploring new topics, and offering new perspectives. It is guided by the observation that the ILO's history is not primarily about «elaborating beautiful texts and collecting impressive instruments for ratification» but about effecting «real change and more happiness in peoples' lives».
