Book excerpt: Au cours de ces dernières années, la question du prix a suscité un important débat jurisprudentiel en France.Selon la doctrine, la détermination du prix est une exigence inhérente à la notion de contrat, qui demeure un acte de prévision entre les contractants. Ainsi, lorsqu'on parle de prix déterminé cela signifie que celui-ci doit être chiffré ou du moins fixé lors de la conclusion du contrat. En outre, le prix doit être réel et sérieux. La lésion n'est admise en revanche qu'à titre exceptionnelle par le Code Civil. Si on adopte une conception purement volontariste du contrat, l'essence du contrat est de fixer le cadre des obligations auxquelles se soumettent les parties.De nombreux auteurs le qualifient de cadre indispensable aux prévisions individuelles : selon Monsieur HAURIOU, le contrat est l'entreprise «la plus hardie qui puisse se concevoir pour établir la volonté humaine sur les faits, en les intégrant d'avance dans un acte de prévision ». La nécessité de fixer le prix découlerait donc de la fonction sociale du contrat qu'est l'emprise de l'homme sur l'avenir. La force obligatoire est indispensable à la confiance du créancier et au crédit, comme l'a si bien exprimé Monsieur GOUNOT selon ces termes : « jamais un vendeur ne se dessaisirait de sa chose, un prêteur de ses deniers, jamais un propriétaire ne livrerait la jouissance de son immeuble ou une personne quelconque ses services, si le phénomène juridique de l'obligation ne leur garantissait la réception en retour de l'équivalent escompté et promis ».Or, cette garantie passe avant tout par une définition claire et précise des termes essentiels de l'accord. La détermination du prix serait donc une exigence inhérente à la notion de contrat, « si un acte est conclu alors qu'un élément essentiel n'existe pas, par exemple la chose, ou est incertain, par exemple le prix, il n'y a ni contrat définitif, ni droit conditionnel, mais plutôt contrat virtuel ou avant contrat ou droit éventuel ».Le droit français commande-t-il la détermination du prix au moment de la formation du contrat ? Hormis l'article 1591 du Code Civil relatif à la vente, très peu de textes imposent explicitement l'existence d'un accord des parties sur le prix. Dans la conclusion des contrats à titre onéreux, le prix demeure pourtant un point crucial où se cristallisent souvent les divergences des contractants. Notre réflexion portera d'abord sur la vente, considérée comme l'archétype des contrats, pour s'élargir aux autres contrats. L'article 1591 du Code Civil exige à peine de nullité du contrat de vente, que le prix doit être déterminé et désigné par les parties. Ce faisant, il érige le prix en un élément essentiel du contrat. Par détermination, faut-il entendre que le prix soit chiffré dès l'échange des consentements ? Par un arrêt datant du 7 janvier 1925, la Chambre des Requêtes a considéré selon une formule désormais devenue classique, que si le prix d'une vente doit être déterminé et désigné par les parties, «il n'est pas nécessaire que le montant en soit fixé dans le principe d'une manière absolue. Il suffit, pour la formation de la vente, que le prix puisse être déterminé, en vertu des clauses du contrat, par voie de relation avec des éléments qui ne dépendent plus de la volonté ni de l'une, ni de l'autre des parties ». Ainsi, les parties doivent convenir du prix ou le rendre au moins déterminable par référence à des critères ou éléments futurs, sans qu'un accord postérieur entre elles ne soit nécessaire pour les mettre en œuvre, au risque d'entraîner la nullité du contrat. L'exigence d'un accord conduit à sanctionner les ventes dans lesquelles subsiste une discussion sur le prix, il s'ensuit que les juges sont amenés à rechercher si les parties ont arrêté un prix ou si au contraire elles étaient restées au stade de pourparlers.La Cour de Cassation fait preuve d'une grande sévérité en invalidant tout accord qui laisserait subsister une incertitude sur le prix car celle-ci «ferait naître une incertitude sur le consentement lui-même ». L'hypothèse la plus extrême est celle où le contrat se borne à prévoir que la fixation du prix se fera «d'un commun accord ». Lorsque le prix est stipulé qu'il sera laissé à l'arbitrage d'un tiers, il est également déterminable. L'article 1592 du Code Civil prévoit en ces termes, que le prix «peut cependant être laissé à l'arbitrage d'un tiers, si le tiers ne veut ou ne peut faire l'estimation, il n'y a point de vente». Ce procédé de détermination n'est licite que dans la mesure où il est gage d'objectivité du prix. Si l'intervention d'un tiers a été expressément prévue par le législateur, c'est parce que le procédé offrait des garanties suffisantes contre toute fixation discrétionnaire par l'une ou l'autre partie : « la détermination du prix par un tiers est licite, parce qu'aucune des parties n'est à la discrétion de l'autre. Mais elles deviennent toutes deux à la discrétion du tiers convenu ».Le principe de la détermination du prix de vente a pour corollaire le principe de non immixtion du juge. Le juge ne peut, indépendamment de leur volonté des parties, intervenir dans le processus de fixation. La Haute juridiction est traditionnellement hostile à la fixation judiciaire du prix de vente car elle équivaudrait à permettre l'exécution d'un contrat imparfait, et même s'il s'agit d'une décision équitable des juges du fond, elle prononce régulièrement la cassation pour violation de l'article 1591 du Code Civil. Si, toutefois une certaine tendance jurisprudentielle en faveur du maintien du contrat se dégage, le principe est appliqué avec rigueur par les tribunaux: le juge n'est pas autorisé à combler soit d'office, soit par des mesures d'expertise l'absence d'un accord sur le prix et ne peut que prononcer la nullité de la vente. Hormis le louage d'ouvrage ou contrat d'entreprise présenté comme un exemple de réussite où le prix n'a nul besoin d'être déterminé, le droit interne est assez rigoureux. On peut se demander quel est le système adopté par nos pays voisins. On observe que l'exigence de détermination du prix ne s'impose pas avec la même rigueur, et qu'au contraire une place de choix est accordée au juge. Le phénomène d'incomplétude du contrat est le mouvement inverse qui consiste à une détermination unilatérale du prix par une des parties ou encore par le juge. En effet, à défaut d'accord des parties, ce dernier a le pouvoir de fixer le prix en se référant notamment à celui qui est habituellement pratiqué. Même, si le vendeur applique ses propres tarifs, l'acheteur a toujours la possibilité de saisir le juge s'il considère que ceux-ci ne correspond pas au prix du marché. Présent dans les pays appartenant à la Common Law, en droit anglo-saxon particulièrement avec les open price term, le système pourrait inspirer le droit français vers une plus grande souplesse. Longtemps le prix a été sévèrement soumis aux articles 1108 et 1129 du Code civil. Ces dispositions relevant de la théorie générale du contrat, ne visent pas expressément le prix. La jurisprudence les a appliquées à partir des années soixante-dix à des contrats qui ne pouvaient pas être qualifié comme des ventes proprement dites (contrats de bière, contrats d'approvisionnements les plus divers, franchise...). Le pompiste ou le détaillant se trouvait dans une situation de dépendance, lié à son contractant économiquement plus fort par une clause d'exclusivité. La disparité de puissance économique se traduisait par une fixation arbitraire du prix. La sanction était la nullité pour indétermination de l'objet. Ainsi, par exemple, la Chambre Commerciale de la Cour de cassation annulait systématiquement les contrats qui faisaient référence au tarif du vendeur au jour de la livraison. L'inconvénient de cette jurisprudence est certain pour ces contrats qui s'inscrivent sur une longue durée: il s'ensuivait des annulations en cascade des contrats de vente d'application s'étalant sur plusieurs années.Annoncé par les arrêts Alcatel, le revirement de jurisprudence tant attendu a finalement lieu par les arrêts de l'Assemblée plénière du 1er décembre 1995, lesquels posent le principe selon lequel : « l'article 1129 du Code civil n'est pas applicable à la détermination du prix» et « lorsqu'une convention prévoit la conclusion de contrats ultérieurs, l'indétermination du prix de ces contrats dans la convention initiale n'affecte pas, sauf dispositions légales particulières, la validité de celle-ci, l'abus dans la fixation du prix ne donnant lieu qu'à résiliation ou indemnisation ». Sauf exceptions, le prix n'étant plus une condition de validité du contrat, mais une condition d'exécution, le contrôle du juge se déplace vers la caractérisation de l'abus. Parallèlement à cette jurisprudence, une tendance vers plus de justice contractuelle se dessine à travers la notion de bonne foi (jurisprudence Huard) ou encore par la subjectivisation de la cause (Affaire Chronopost). Le développement contemporain de la violence économique est une illustration de la prise en compte par le juge de la réalité que sont les inégalités des contractants. Dans une ère favorable à l'intervention judiciaire en matière de prix, est-il possible d'étendre le mécanisme à tous les contrats ? Les Principes européens du droit des contrats élaborés par la Commission Lando contribuent à cette proposition en prévoyant une possible indétermination du prix. Ces principes ont pour fonction de lois-modèles afin d'uniformiser les différents droits européens des contrats. Les articles 6-104 à 6-107 privilégient en effet une approche plus souple en la matière, notamment lorsque le contrat ne fixe pas le prix ou la façon de le déterminer, les parties sont censées être convenues d'un prix raisonnable. Quelle sera l'évolution du droit français? Il convient de se demander si l'évolution jurisprudentielle française pourrait se voir institutionnaliser dans l'avant-projet de réforme du droit des obligations et du droit de la prescription déposée au Sénat le 22 septembre 2005, avant-projet dénommé CATALA.La proposition de réforme du droit des obligations semble s'inspirer des Principes européens du droit des contrats. Dans son article 1121-4, il est stipulé que, « dans les contrats à exécution successive ou échelonnée, il peut toutefois être convenu que le prix des prestations offertes par le créancier sera déterminé par celui-ci lors de chaque fourniture, fût-ce par référence à ses propres tarifs, à charge pour lui, en cas de contestation, d'en justifier le montant à première demande du débiteur faite par écrit avec avis de réception».

After the collapse of the European Commission's plans to codify European contract law it is timely to reflect on what has been achieved over the past three to four decades, and for an assessment of the current situation. In particular, the production of a bewildering number of reference texts has contributed to a complex picture of European contract laws rather than a European contract law. The present book adopts a broad perspective and an integrative approach. All relevant reference texts (from the CISG to the Draft Common European Sales Law) are critically examined and compared with each other. As far as the acquis commun (ie the traditional private law as laid down in the national codifications) is concerned, the Principles of European Contract Law have been chosen as a point of departure. The rules contained in that document have, however, been complemented with some chapters, sections, and individual provisions drawn from other sources, primarily in order to account for the quickly growing acquis communautaire in the field of consumer contract law. In addition, the book ties the discussion concerning the reference texts back to the pertinent historical and comparative background; and it thus investigates whether, and to what extent, these texts can be taken to be genuinely European in nature, ie to constitute a manifestation of a common core of European contract law. Where this is not the case, the question is asked whether, and for what reasons, they should be seen as points of departure for the further development of European contract law.
