La responsabilité pénale qu'ils encourent est, bien souvent, perçue comme un risque inhérent à l'exercice de leur activité, ce qui constitue un argument politique décisif pour une dépénalisation des infractions d'affaires. La multiplication des infractions dites matérielles semble incompatible avec le principe d'intentionnalité des crimes et des délits énoncé à l'article 121-3 du Code pénal. La mise en place de présomptions de culpabilité apparaît comme une grave entorse au principe de présomption d'innocence qui devrait pourtant être commun à l'ensemble des délinquants. L'élément intentionnel ne serait ainsi plus un élément constitutif de la responsabilité pénale en droit des affaires, celle-ci devenant une responsabilité pénale à caractère objectif semblable à celle qui peut exister en droit civil. Pourtant, une analyse approfondie de ce qu'est l'élément intentionnel en droit pénal et en sciences juridiques, permet de relativiser cette conception des choses. L'élément intentionnel, entendu comme la volonté d'accomplir une action en vue d'obtenir un résultat particulier, est plus qu'un élément constitutif des infractions ; il est le fondement de la responsabilité pénale. C'est bien cet aspect psychologique qui est déterminant pour engager une responsabilité pénale ; le droit pénal juge d'abord des intentions. Mais parce que l'intention est par nature abstraite et insaisissable, la loi et le pouvoir judiciaire déterminent les actions qui pourront révéler cette âme coupable. L'élément intentionnel a donc, parmi les conditions d'engagement de toute responsabilité pénale, un rôle prépondérant qui n'est en aucun cas remis en cause dans la délinquance économique et financière. C'est bien le contenu de cet élément, c'est-à-dire les actions matérielles à partir desquelles l'intention coupable est révélée, qui connaît une forme de déliquescence. Les causes de cette apparente disparition peuvent être identifiées à travers le particularisme des autres éléments constitutifs des infractions d'affaires. Leur analyse conduit à constater, non pas une disparition du contenu de l'élément intentionnel, mais une absorption de celui-ci par l'élément matériel. La complexité, la densité de l'élément matériel nécessaire pour caractériser les infractions d'affaires, remet en cause la frontière qui devrait exister entre les différents éléments constitutifs. Le particularisme de l'élément intentionnel en droit pénal des affaires ne résulte donc pas tant du pouvoir judiciaire, qui violerait fréquemment les exigences de l'article 121-3 précité, que du pouvoir législatif qui, par une définition toujours plus technique, dense et complexe de l'infraction, inclut dans le texte d'incrimination le contexte nécessaire à la preuve de l'intention coupable. Cette physionomie originale des infractions d'affaires est appelée à se généraliser en raison de la complexification du droit.
