Les inexécutions licites (du latin licitus : permis) sont des inexécutions autorisées par le droit. Ainsi, la force majeure qui vient excuser le débiteur, n'est pas une inexécution licite. L'inexécution licite du contrat est le "non-accomplissement d'une obligation qui peut être total, partiel ou temporaire, qui est autorisé par la loi, le juge ou les parties, mais qui s'exerce de façon volontaire en ce qu'il constitue l'exercice d'un droit". L'existence de ces inexécutions, opérant comme un fait justificatif, amène à s'interroger sur leur conflit avec la norme , de l'article 1134 C. civ. A la force obligatoire du contrat qu'elle édicte s'attachent deux corollaires : l'irrévocabilité et l'intangibilité: nul ne peut en principe, éluder l'exécution ou changer les termes du contrat. C'est pourtant ce à quoi conduisent les inexécutions licites. En effet, certaines d'entre elles entraînent la libération du débiteur en dépit de l'inexécution: soit le débiteur a le droit potestatif d'anéantir le contrat ou de se délier pour l'avenir, soit le juge reconnaît ou offre au débiteur un droit de ne pas exécuter; les autres conduisent à la pérennité du lien contractuel en dépit de l'inexécution: celle-ci est alors au service du contrat, d'où les nombreuses hypothèses de révision et de suspension du contrat ou de la seule obligation du débiteur (la renégociation en cas d'imprévision en fait partie). Les inexécutions licites sont justifiées par l'utilité économique et la justice sociale qu'elles sous-tendent, lesquelles seraient le fondement actuel de la force obligatoire du contrat. Cependant, le solidarisme contractuel serait, pour nous, un fondement plus souhaitable pour la force obligatoire du contrat.

La règle de la force obligatoire ne signifie pas que le contrat doit être exécuté. Elle signifie que son inexécution est juridiquement sanctionnée. Et puisque l'article 1134 alinéa 1er du Code civil ne précise pas le type de sanction encourue, la règle ne saurait fonder le prononcé de l'exécution forcée en nature et encore moins sa prétendue primauté juridique. Une sanction n'est pas et ne peut pas être plus ou moins conforme à la force obligatoire, puisque toutes les sanctions en découlent également. Les dommages-intérêts et la résolution du contrat ne sont pas plus contraires à la règle de la force obligatoire que l'exécution forcée en nature. Égales devant l'article 1134 alinéa 1er du Code civil, les sanctions de l'inexécution du contrat sont en revanche d'une efficacité économique variable, et cette considération peut justifier une articulation que la force obligatoire est incapable de fonder. Le coût d'une sanction et son aptitude à faire circuler les ressources vers ceux qui les valorisent le plus sont des facteurs de nature à déterminer leur domaine et leur régime respectifs. La recherche d'efficacité est susceptible de degrés. Elle se traduit, au minimum, par le rejet des sanctions dont la mise en oeuvre est d'un coût disproportionné par rapport à l'avantage qu'elles procurent au créancier. Poussée plus avant, elle aboutit à la reconnaissance d'un devoir de minimiser le dommage, propre à bouleverser l'ensemble des sanctions de l'inexécution du contrat.

Growing interconnectedness of global economies facilitates the spread of the effects of the financial crises. Financial crises cause severe difficulties for persons to fulfill their contractual obligations. During the financial crises, performance of contractual obligations may become excessively onerous or may cause an excessive loss for one of the contracting parties and consequently destroy the contractual equilibrium and legitimate the governmental interventions. Uncomfortable economic climate leads to one of the most controversial dilemmas of the contract law: whether the binding force of the contract is absolute or not. In other words, unstable economic circumstances impose the need to devote special attention to review and perhaps to narrow the binding nature of a contract. Principle of good faith and fair dealing motivate a variety of theoretical bases in order to overcome the legal consequences of financial crises. In this book, all these theoretical bases are analyzed with special focus on the available remedies, namely renegotiation, rescission or revision and the circumstances which enables the revocation of these remedies. The book collects the 19 national reports and the general report originally presented in the session regarding the Effects of Financial Crises on the Binding Force of Contracts: Renegotiation, Rescission or Revision during the XIXth congress of the International Academy of Comparative Law, held in Vienna, July 2014.

Book excerpt: International law is not derived from static sets of rules or mutually exclusive sources, but is the manifestation of a complex decision-making process in which different forms of legal authority interact. The cornerstone of international law is the consent of states. This may be explicit, as in the case of signed international treaties, or it may be implicit, as in the case of customary international law. Law-making through multilateral treaties is a protracted process involving consent, ratification and often reservations by state governments. The interpretation and application can be complex because of different language versions. Customary law, on the other hand, is difficult to prove conclusively. Increasingly, the decisions of courts, tribunals and international organizations, as well as scholarly writings are becoming non-traditional sources of international law and its interpretation. These traditional sources and tools with their shortcomings, are inadequate, especially in dealing with new areas that do not fit the traditional mold, such as human rights, international criminal law and international economic law, all of which transcend state barriers. International investment law, is one obvious field where legal principles such as 'sanctity of contract' conflicted with 'state sovereignty,' and alternative sources such as customary law and bilateral treaties were inconclusive and had to contend with socialist ideologies and nationalist decolonization doctrines. Obviously, fresh thinking and new legal techniques are necessary to meet the challenges.
