Il constate qu’un certain nombre de sujets post-Enron sont intimement liés – les normes comptables, la transparence de l’information, l’amélioration du gouvernement d’entreprise, ou encore l’atténuation des conflits d’intérêt par séparation de métiers trop imbriqués (l’audit et le conseil, l’analyse financière et l’activité de banque d’investissement...) – et dépassent largement l’organisation de l’industrie du chiffre. Le rapport s’interroge ensuite sur les équilibres essentiels à trouver ou à respecter entre la réglementation, les codes de bonne conduite, l’autorégulation, ou encore le renforcement de l’éthique des affaires et les futures étapes de l’intégration financière européenne et fait à ce titre différentes recommandations. Les deux rapports sont commentés par Élie Cohen et Dominique Plihon. Ils sont accompagnés de deux compléments. Notre démarche s'inscrit dans un contexte de profond bouleversement des pratiques comptables dans le monde entier, phénomène encore accru à la suite des récents scandales financiers qui, depuis l'affaire Enron, ont mis en lumière le retard des moyens utilisés par rapport à la réalité économique des entreprises. L'adaptation de l'information financière aux techniques modernes de communication et d'échange devient donc un enjeu d’autant plus important que l’environnement réglementaire, partout dans le monde, requiert un reporting toujours plus volumineux et des délais toujours plus courts. Nous proposons avec notre travail une représentation syntaxique et sémantique des nouvelles normes comptables internationales inspirée de techniques assez répandues pour ce genre de tâches, et qui peut être utilisée pour pré-traiter l’information et faciliter son analyse. La représentation syntaxique utilise un formalisme inspiré des logiques de description, qui permet d'introduire des opérateurs logiques non usuels qui sont d'une grande utilité pour modéliser certains aspects caractéristiques des normes comptables. La sémantique est représentée à l'aide d'outils de création et de gestion d'ontologies, qui permettent d'effectuer automatiquement des raisonnement de type classification ou instanciation, tout en étant un bon moyen de véhiculer le sens que nous donnons aux différents concepts utilisés par notre modèle. Nous montrons des cas pratiques d'utilisation d'un tel modèle, afin de mettre en lumière les avantages que représente une telle formalisation de l'information, par exemple pour pouvoir représenter des situations particulières et pouvoir déterminer automatiquement si elles sont conformes aux normes comptables. Ces cas pratiques sont en partie inspirés par des tâches habituellement réalisées dans un audit financier, pour montrer le bénéfice que l'on pourrait tirer de l'utilisation d'un modèle adéquat de l'information, et en partie issus de travaux réalisés en sciences de gestion, pour montrer en quoi un modèle comme le notre représente une solution à des problèmes rencontrés dans ce domaine pour appliquer des méthodes de surveillance sur une grande échelle

Those familiar with Henri Savall’s and his colleague Véronique Zardet’s earlier work on the socio-economic theory of organizations will recognize their assessments of organizational dysfunctions and hidden costs – but in a different context. In their current work, the emphasis is on the tensions created by the wider environment – the idea of tetranormalization – and how those tensions shape and influence organizational life. Drawing on a wide range of examples from the news media and popular press, Savall and Zardet paint a disturbing picture of the underlying dynamics and challenges posed by a literal avalanche of standards and norms – which are often ambiguous and conflicting – that literally encompasses all that we do. Their analytic framework is composed of four “poles” – two social dimensions and two economic dimensions – that capture social norms and quality, safety and environment standards (the social dimension), and trade-related norms and accounting and financial standards (the economic dimension). Throughout the volume, Savall and Zardet’s analysis captures the myriad ways in which these dimensions interact, shaping the “rules of the game” that dictate how organizations compete and collaborate. Differentiating the “rules of the game” from “playing with” those rules, they delve into the subtleties and nuances that underlie these “poles,” providing further insight into how these forces are manipulated through lobbying and the seemingly 24/7 cycle of exposing, publicizing and rule-making surrounding social and economic as well as scientific and technological controversies. As Savall and Zardet argue, we are in the midst of a profound upheaval that will play havoc with our economic and social lives for some time to come. If we are going to exert influence on that reality, the challenges that we face moving forward must be conceptualized, constructed and implemented today, for, as they argue, “the road to durable prosperity will be a long haul.” Yet, moving beyond these challenges per se, they underscore that we are also presented with an exceptional opportunity – the very real opportunity to create a sustainable commitment to responsible and responsive organizational performance, one that can be fuelled and financed by our ability to translate the hidden costs that exist in all our organizations into productive, value-added activities and true wealth creation.
