Book excerpt: Le bénéfice du contrat peut être attribué à un tiers, ce bénéfice pouvant être une créance, le tiers étant investi de la qualité de créancier, ou une position contractuelle, le tiers pouvant acquérir la qualité de contractant. La première hypothèse, la plus classique, correspond à la stipulation pour autrui. Cette institution permet de scinder les effets du contrat en conférant à une personne n'ayant pas la qualité de contractant une créance de nature contractuelle. Cette opération est gouvernée par deux règles cardinales : la dépendance de la créance du tiers à l'acte et la séparation des qualités au sein du contrat. La première de ces règles permet de justifier les atteintes susceptibles d'affecter la créance entrée dans le patrimoine du bénéficiaire, tandis que la seconde détermine les ajustements nécessaires du régime du contrat sur lequel se greffe une stipulation en faveur d'un tiers. La seconde hypothèse, moins bien appréhendée que la première, correspond au contrat pour autrui. Elle est d'utilisation fréquente en permettant aux parties à un contrat d'envisager la conclusion d'un contrat futur avec le tiers bénéficiaire ou de concevoir l'inclusion du tiers à un acte d'ores et déjà formé. Dans le domaine du contrat pour autrui, la situation du bénéficiaire ne peut s'expliquer par la simple acquisition d'un droit de créance : le bénéfice dont il peut se prévaloir est plus complexe. La démonstration consiste à établir l'existence de cette opération autonome qui possède des caractéristiques propres et d'en exposer les manifestations ainsi que le régime.

The results of this work were sent to the European Commission and have already been published in French. The English translation is now being published by sellier.elp. This work could contribute to the wider European project. The part on the guiding principles could be a component of the CFR, in the form of "black letter" model rules or recitals. The part on terminology is, in itself, useful for the elaboration of the final various linguistic versions of the CFR. It finds its place within the materials which will accompany the model rules. Last but by no means least, the revised version of the PECL should be considered by the European institutions as an alternative set of model rules on contract law.
