Il s’agit de savoir si cette qualité est de nature à modifier les règles habituelles de la responsabilité en raison de la possibilité pour la victime d’agir contre le commettant. Il apparaît que la responsabilité du préposé a avant tout été envisagée en contrepoint de la responsabilité du commettant, de telle sorte que le préposé bénéficie d'un certain régime de faveur par rapport aux autres auteurs de dommages ou d'infractions, alors que rien ne le présageait. Cela se vérifie en droit civil, en droit du travail, en droit pénal, en droit de la sécurité sociale. Néanmoins, la responsabilité du préposé demeure dans un but punitif, lorsque ses fautes sont particulièrement graves. Aussi proposons-nous de reconstruire la responsabilité du préposé en prenant acte de cette évolution. Tout en lui reconnaissant une immunité civile, il faut s'interroger sur les limites de celle-ci. Il est en effet nécessaire d'assurer un équilibre entre protection du préposé et sanction de ses comportements les plus répréhensibles. À cette fin, la notion de préposé doit être restreinte et le régime de sa responsabilité civile repensée. Il convient de déterminer le fait générateur de sa responsabilité et l'étendue de sa réparation. Il serait souhaitable de ne pas condamner le préposé à la réparation intégrale du préjudice causé pour toutes les fautes de nature à engager sa responsabilité. L'indemnisation de la victime nécessiterait, dans ce cas, l'engagement conjoint des responsabilités du commettant et du préposé. Finalement, en rénovant la responsabilité du préposé, on renouvelle l'analyse des rapports que le préposé entretient avec la victime et avec son commettant.
