Book excerpt: La faillite internationale est une matière complexe qui a donné lieu à un long et vif débat doctrinal entre les tenants des systèmes de la territorialité et de l'universalité. Une faillite est internationale lorsqu'elle met en présence un débiteur possédant des biens ou des créanciers dans plus d'un pays. Puisque la matière de faillite est souvent très différente d'un pays à l'autre, l'application du système de la pluralité, retenue dans la plupart des pays, soulève plusieurs problèmes particulièrement en ce qui concerne la coordination entre les diverses faillites et le manque de protection des créanciers, notamment parce qu'elle accorde des effets limités à la reconnaissance des procédures de faillite étrangères. En effet, en présence de procédures de faillite concurrentes il s'agit de répondre aux questions suivantes: quelle est la juridiction compétente pour ouvrir et organiser la faillite? Quelle est la loi applicable? Dans quels États cette faillite va-t-elle produire des effets? Dans le présent mémoire, il s'agit d'établir une comparaison entre le système canadien et le système européen en matière de faillite internationale. Le législateur canadien a récemment envisagé de modifier sa législation sur la faillite pour permettre une meilleure coopération internationale en matière de faillite internationale. Le projet canadien C-55 reprend pour l'essentiel les dispositions contenues dans la loi-type de la commission des Nations-Unis pour le droit commercial international (CNUDCI) sur "l'insolvabilité internationale". Ainsi, il permet de faciliter réellement la reconnaissance des décisions de faillite étrangères, il accorde une plus grande portée aux effets de cette reconnaissance et il prévoit une coordination des procédures multiples en établissant une "hiérarchisation" des procédures de faillite relativement semblable au système européen. Cependant, le projet canadien atteint moins bien l'objectif d'universalité que le Règlement européen 1346/2000 au niveau du.

L’étude comparative oppose les systèmes pro-débiteur et pro-créancier en fonction de la finalité prioritaire retenue. Elle montre que les objectifs des législations convergent vers le sauvetage des entreprises. Le droit fédéral des Etats-Unis, fondé sur la philosophie du nouveau départ, inspire les législateurs européens. L’analyse économique du droit, renouvelle la question des objectifs du droit de la faillite au regard de l’efficience, critère de légalité. Elle explique la convergence. La recherche de l’efficacité procédurale et substantielle guide l’orientation de la Commission européenne dans l’optique de promouvoir le marché unique. Ainsi, le consensus sur l’objectif de sauvegarde de l’entreprise rend possible l’harmonisation des règles substantielles au niveau européen. La révision du règlement (CE) n°1346/2000 relatif aux procédures d’insolvabilité confirme l’adhésion générale à l’idée de seconde chance. L’opposition entre systèmes pro-débiteur et pro-créancier s’estompe et laisse place à un système mixte. Chaque législation essaye de tendre vers la conciliation des intérêts contradictoires, ce qui entraîne le déplacement de la valeur du respect de la parole donnée, vers le concept plus difficile à cerner, mais qui fonde la force obligatoire des obligations: la confiance.

L’Union européenne, quant à elle, a choisi une voie plus consensuelle, celle de la création d’un droit de la faillite européenne, non par une harmonisation des droits nationaux mais par le jeu des règles de conflit de juridictions. Deux systèmes coexistent, avec certes, des besoins fondateurs distincts, un environnement économique et juridique différent, mais deux systèmes qui tendent tous deux, à assurer une protection internationale des créanciers par l’ouverture, aux côtés d’une procédure principale, de procédures secondaires.Face à la réalité des Etats-parties de l’OHADA, l’application de la théorie de l’universalité dans toutes ses conséquences a semblé trop novatrice et peu adaptée aux réalités de terrain. Aussi a-t-il été décidé, tout au moins dans les premiers temps nécessaires au rapprochement des mentalités juridiques, de revenir, pour partie, à la théorie de la territorialité et à l’ouverture de procédures secondaires. Mais, et c’est là le point essentiel, l’AUPCAP s’applique à toutes les procédures, qu’elles soient principales ou secondaires ; il en détermine, seul, leurs conditions d’ouverture, d’organisation et de clôture, à la différence de l’espace européen où chaque procédure collective suit les règles de la loi de la juridiction d’ouverture, soit la lex fori concursus.
