Book excerpt: Despite the central importance of investors to all IPO theories, relatively little is known about their role in practice. In this paper we survey institutional investors about how they assess IPOs, what information they provide to the investment banking syndicate, and the factors they believe influence allocations. Although the theoretical IPO literature has tended to focus on information revelation, the survey raises doubts as to the extent of incremental information production and whether bookrunners are, in practice, able to infer investors' valuations from their bids. We find that investor characteristics, in particular broking relationships with the bookrunner, are perceived to be the most important factors influencing allocations, which supports the view that IPO allocations are part of implicit quid pro quo deals with investment banks.

We analyze the effect of when-issued trading on the pricing and allocation of IPO shares. We demonstrate that the optimal selling mechanism in the presence of when-issued trading differs qualitatively from the optimal mechanism if such trading is prohibited. Furthermore we show that trading rules in the when-issued market can be designed so that allowing when-issued trading results in an increase in expected issue proceeds.

Price support is price manipulation and can reduce secondary investor return. Obtaining data to investigate price support has in the past proven to be difficult. We document that price support is harming secondary investors using new data from the Oslo Stock Exchange (OSE). We also show that investors who engage in price support are allocated more future oversubscribed allocations and that secondary investors stay away from the market in the future when they lose money.

The fewer numbers of companies going public in recent years has raised many questions regarding the IPO process, in both academic and regulatory circles. As we all strive to understand these changes in the market, it is especially important to understand the dynamics underlying the IPO process. If the process of going public is too costly or the IPO mechanism is plagued by too many conflicts of interest among the various intermediaries, then private companies may rationally choose other methods of raising capital. In a related vein, it is imperative that new regulations not be based on research focusing solely on large, more mature firms. Newly public firms have unique characteristics, and an increased understanding of such issues will contribute positively to well-functioning public markets and further growth of the entrepreneurial sector. We also provide a detailed guide to researchers on how to obtain a research-quality sample of IPOs, from standard data sources. Related to this, we tabulate important corrections to these standard data sources.

Book excerpt: Laddering, spinning and the demanding of premium commissions in exchange for a favourable allocation in hot IPOs were prevalent phenomena during the internet bubble period (1999-2000). An analysis of these practices shows that functioning as trade-based price manipulation laddering boosts the value of the issue. To maximise its profits, a lead-underwriter uses this outcome to increase the offer price and the underpricing level. This, in turn, creates the conditions needed for the other two rent seeking activities, which are considered as separate forms of profit-sharing, to arise. The decreased transparency of the share allocation process and the artificially boosted offer and after-market prices impair stock market development and thus have a negative effect on economic growth in the long-run. Current regulatory regimes in the US and the EU contain different securities law provisions addressing laddering, spinning and the demanding of premium commissions in exchange for a favourable allocation. Despite these numerous regulations, the present legal model contains significant imperfections and, therefore, cannot ensure an efficient outcome. As regards the private enforcement (tort liability) approach, the shortcomings include too complicated pleading requirements, strict issuers' liability, limits on damage compensation and too short limitation periods for laddering actions. As regards the public enforcement approach they refer to behaviour prohibitions and information disclosure requirements as well as the magnitude and the probability of the imposition of sanctions.
