Les récents débats se rapportant aux investisseurs institutionnels se sont surtout focalisés sur l'impact de leurs comportements de contrôle. Les études antérieures ont abouti à des résultats assez mitigés. Une première catégorie de travaux avance que ces investisseurs sont de véritables "traders" qui tendent à appliquer un contrôle indirect (de type financier) sur les entreprises cibles. Une deuxième catégorie d'études considère qu'ils sont des actionnaires de plus en plus avisés qui tendent à appliquer un contrôle direct (de type stratégique) sur les sociétés de leurs portefeuilles. Une troisième et dernière catégorie de recherches suggère de pousser davantage l'analyse en prenant en considération leur hétérogénéité. Notre recherche tente d'étudier les implications de ces trois points de vue en ce qui a trait à la gestion des résultats comptables. L'étude se base sur deux méthodologies complémentaires l'une qualitative et l'autre quantitative reposant respectivement sur des entretiens semi-directifs et sur un échantillon de sociétés françaises cotées durant la période 2001-2004. L'analyse des données apporte de nombreux résultats intéressants. En particulier, elle montre que l'influence de ces investisseurs n'est pas systématique. Elle dépend de la sensibilité des incitations des dirigeants à gérer leurs résultats et diffère selon qu'il s'agisse d'institutionnels domestiques ou internationaux.

À travers ces choix, ils publient des états financiers optimistes pour éviter le dépôt de bilan (stratégie défensive) ou pessimistes pour réorganiser le redressement de l' entreprise (stratégie offensive). La thèse est organisée en deux parties. La première expose tout d' abord le cadre théorique. Elle passe ensuite en revue la notion d' entreprises en difficulté et propose une nouvelle définition. Elle analyse enfin les stratégies des acteurs (dirigeants, actionnaires et créanciers). Après avoir décrit la démarche de recherche, la deuxième partie se focalise sur l' étude empirique. Dans un premier temps, elle met en évidence, à partir d' études de cas, des profils de reconnaissance des entreprises en difficulté et la politique comptable et financière de leurs dirigeants. Dans un deuxième temps, elle analyse, à partir des modèles d' accruals et des régressions, les stratégies de gestion des résultats des dirigeants français sur un échantillon de 85 entreprises en difficulté cotées à la Bourse de Paris.

Book excerpt: Les normalisateurs comptables et les chercheurs font appel à des études académiques s'intéressant à connaitre les besoins en informations financières et comptables (IFC) des principaux utilisateurs des états financiers : les investisseurs institutionnels. Ce travail propose de déterminer leurs besoins en informations financières et comptables en les comparants à ceux des investisseurs individuels. Nous mobilisons le cadre théorique d'agence élargie de Schneider (2000), couplée avec la notion d'agent professionnel de Sharma (1997), afin de construire un cadre d'analyse qui met en évidence la spécificité du contrat d'agence dans lequel se trouve l'investisseur institutionnel et nous étudions son influence sur leurs besoins en IFC. Dans une première phase, une étude qualitative a été entreprise par le biais de 61 entretiens semi-directifs avec des investisseurs individuels et institutionnels. Elle a permis de confirmer l'existence de besoins différenciés mais également de classifier les différents types d'IFC. Cela nous a permis d'enrichir notre cadre d'analyse et d'alimenter notre deuxième phase d'étude par le biais d'un protocole expérimental. Ce dernier a été déroulé afin d'expliquer pourquoi les besoins en IFC des investisseurs diffèrent ? Les résultats démontrent empiriquement que les besoins en IFC sont différents et sont impactés par le type de relation d'agence mais également par la nature même des investisseurs. Enfin nous proposons d'autres facteurs susceptibles d'expliquer ce phénomène.
