Examining the international community from political, economic, and legal perspectives, it gives a comprehensive understanding of all the issues involved in regulation.

Available in PDF, EPUB and Kindle. Book excerpt: This book explores the challenges and opportunities presented by the formulation of a global code of conduct for transnational corporations. It assesses the current state of research on global regulations intended to enhance the social responsibility of transnational corporations, and provides a platform for future research. In particular the book examines frameworks and instruments for regulating social responsibility, reviews recent developments concerning the proposed UN Code of Conduct on Transnational Corporations, and provides insights into international civil society groups’ movements in pursuit of a code of conduct. In a separate chapter the book discusses theoretical issues in regulating transnational corporations, and investigates their legitimacy and behavioral dynamics. In closing, the book discusses alternatives to a global code of conduct, the impact of sovereign power in the era of globalization, “soft regulations,” and the feasibility and normative efficacy of enforcing regulations.

Available in PDF, EPUB and Kindle. Book excerpt: The contributors to Corporate Citizen explore the legal frameworks and standards of conduct for multinational corporations. In a globalized world governed by domestic and international law, these corporations can be everywhere and nowhere at once, reaping financial benefits and enjoying the protections of investor-state arbitration but rarely being held accountable for the economic, environmental, and human rights harms they may have caused. Given the far-reaching power and success of the transnational corporation, and the many legal tools allowing these companies to avoid liability, how can governments protect their citizens? Broad-ranging in perspective, colourful and thought-provoking, the chapters in Corporate Citizen make the case that because the success of corporate global citizenship risks undermining national and international democratic governance, the multinational corporation must be more closely scrutinized and controlled – in the service of humanity and the protection of the natural environment.

Available in PDF, EPUB and Kindle. Book excerpt: The United Nations Centre on Transnational Corporations (UNCTC) was established in 1975 and abolished in 1992. It was an early effort by the UN to address the overlapping issues of national sovereignty, corporate responsibility and global governance. These issues have since multiplied and deepened with globalization. This book recounts the UNCTC experience and its lessons for international organizations. This book is not only an insider perspective by two former staff but also a collective memoir of the UNCTC as an international organization that attempted with varying success to defuse the clash between corporates and states that erupted in the turbulent 1970s. This personal account of the UNCTC is a mixture of history, analysis, reflections, and critical commentaries, told in different voices that penetrate the bland persona of international civil service. In this retelling, the authors seek to address misconceptions amongst the more general literature and to seek to provide accounts of both its positive and negative features. The UNCTC experience recounted in this book holds valuable lessons for international organization and will be of interest to student, scholars and practitioners alike.

This book was released on 1999-09-01 with total page 410 pages. Available in PDF, EPUB and Kindle. Book excerpt: What is the nature and scope of corporate responsibility with regard to human rights? Should companies themselves be responsible for human rights violations involving themselves or their subsidiaries? What principles should guide business in countries known to violate human rights? Is self-regulation sufficient, or are corporations best regulated by national or international codes, and on what should these codes be based? These are some of the many questions which this ground-breaking collection of essays seeks to address as it assesses the value of applying human rights standards to transnational corporations. The increasing involvement of corporations in the public domain and the steady reduction of governmental involvement in commercial and social undertakings has created a desperate need to rethink the nature and role of the private corporation and its regulation. This volume, which contains a balanced collection of analyses from all interested sources in the corporate responsibility debate, is the result of a three-day conference during which government officials, corporate executives, NGOs, and representatives of inter-governmental organisations, as well as academic researchers, came together for the first time to discuss the emerging issues. The essays have been arranged under six broad themes: policy issues, regulation, issues of application, matters of doctrine, globalisation and case studies. In addition, each section contains the opinion (not simply a summary of proceedings) of a nominated rapporteur who draws together the strands of each theme, and, where necessary, broadens the analysis to cover important issues which may not have been addressed. At the heart of this volume is the attempt to define an effective framework for transnational corporate responsibility through international human rights standards. It will be of vital interest to corporate legal advisers, human rights practitioners, NGOs, government law offices and academics, as well as to all those concerned with human rights and their place in the modern world.

Available in PDF, EPUB and Kindle. Book excerpt: The classical model of international lawmaking posits governments as exclusively authoritative actors. However, commercially-oriented entities have long been protagonists within the prevailing international legal order, concluding contracts and resolving disputes with governments. Is the international legal personality of corporations undergoing further qualitative transformations ? Corporations influence the State practice constitutive of custom and create, refashion or challenge normative rules. The corporate willingness to fill legal lacunae where governments do not exercise their full regulatory responsibility is also observable through resort to alternative legal mechanisms. Corporations moreover contribute directly to treaty negotiations and occupy crucial roles during subsequent implementation. Indeed, an analysis of the access conditions and participatory modalities for non-State actors could support a right to participate under common international procedural law. Their substantive contributions are also evident when corporations participate in enforcing international law against governments through national courts, diplomatic protection (including the WTO) and arbitration (including NAFTA). However, the practice of intergovernmental organizations reveals several challenges including managing corporate interaction with developing country governments and other non-State actors. Acknowledging corporate contributions also has important implications for national regulatory autonomy, the ability of governments to mediate contested policy issues, the democratic legitimacy of the contemporary lawmaking process and an understanding of consent as the underlying basis for international law.

Book excerpt: The 'corporate social responsibility' ('CSR') movement has been described as one of the most important social movements of our time. This book looks at what the CSR movement means for multinationals, for states and for international law. International law is often criticized for being too 'state-centred', and ill-equipped to deal with the challenges of globalization. However, drawing from many and varied examples of state, NGO and corporate practice, this 2006 book argues that, while international law has its limitations, it presents more opportunities for the CSR regulation of multinationals than many people assume. The main obstacles to better regulation are, therefore, not legal, but political.
