Se estudiaron diferentes puntos en la estructura de gobierno corporativo, siendo los más importantes el control de la propiedad, la evolución de la propiedad en una empresa, las diferentes partes que conforman un gobierno corporativo, el problema de la agencia en la estructura de gobierno corporativo y las diversas formas de incentivar un control ético sobre una empresa. El gobierno corporativo se define como los arreglos institucionales con los que una empresa establece relaciones con los diferentes stakeholders o tenedores de intereses, quienes son los principales actores que intervienen dentro de dicha estructura, entre los cuales se encuentran los accionistas mayoritarios, los minoritarios, el consejo de administración, la administración, los trabajadores, etc. El principal problema del gobierno corporativo son los diferentes intereses que tienen cada uno de los stakeholders, originando el problema de la agencia, el cuál es un conflicto de intereses entre la administración y la propiedad de la empresa. Después de haber analizado las leyes que solucionan el gobierno corporativo y determinar una estructura general, se pasó a comparar la estructura de gobierno corporativo de seis empresas de tres diferentes países, de los cuáles obtuvimos conclusiones generales, siendo las principales las siguientes: a) En Alemania hay independencia de los miembros del consejo de administración. b) Existe independencia de los miembros del comité de auditoria tanto en Estados Unidos como en Alemania. c) Existe división entre propiedad y administración en Estados unidos y Alemania.
