Book excerpt: An indispensable guide to strategic best practices for business mergers Thirteen years ago, the experts at A. T. Kearney embarked on a landmark, worldwide study of business mergers. Encompassing 25,000 companies across 24 industries in 53 countries, the study revealed much crucial information that was previously unknown about business consolidation. This book shares those revelations and insights with senior executives, consultants, and industry analysts involved in the merger process. More important, it builds on those findings to present readers with a solid game plan for winning the consolidation game. Readers learn about the consolidation cycles through which industries pass, how to identify where in the cycle their industry currently lies, how to leverage that knowledge in determining which organizational changes they need to make and when they need to make them, and how to develop and deploy the most successful merger strategies.

Indeed, the simultaneous processes of globalization combined with the disintegration of international systems of governance and law-making pose complex challenges for legal scholarship. The doctrinal response to these challenges has been theorized within two seemingly contradictory discourses in international law: fragmentation and constitutionalisation. This book takes an innovative approach to international law, viewing the processes of the fragmentation and constitutionalisation as being profoundly interconnected and reflective of each other. It brings together a select group of contributors, including both established and emerging scholars and practitioners, in order to explore the ways in which the problems of fragmentation and constitutionalisation are viscerally linked one to the other and thus mutually conditioning and stimulating. The book considers the theory and practice of international law looking at the two phenomena in relation to the various fields of international law such as international criminal law, cultural heritage law and international environmental law.

Book excerpt: This is the first major treatment of the effects of increased transparency on financial markets: an important and highly controversial issue for both traders and regulators. Focussing on three main themes - market transparency, the consolidation-fragmentation of trading systems, and the scope of regulation (i.e. which markets, and which traders within those markets, should be subject to regulation), the book highlights the importance of these issues to all markets throughout the world. The book draws on research from eight UK based investment exchanges, Deutsche Borse in Frankfurt and documentary evidence from the US markets and their regulators enabling the identification and documentation of the current situation and consideration of what fresh regulatory approaches are required for this new and fast evolving situation.

Available in PDF, EPUB and Kindle. Book excerpt: After the overthrow of the Qadhafi regime in 2011, Libya witnessed a dramatic breakdown of centralized power. Countless local factions carved up the country into a patchwork of spheres of influence. Almost no nationwide or even regional organizations emerged, and no national institutions survived the turbulent descent into renewed civil war. Only the leader of one armed coalition, Khalifa Haftar, has managed to overcome competitors and centralize authority over eastern Libya. As he attempts to seize power in the capital Tripoli, dozens of armed groups in western Libya have coalesced to offer tenacious resistance. Rarely does internal division and political fragmentation occur as radically as in Libya. This has been the primary obstacle to the re-establishment of central authority. This book analyzes the forces that have shaped the country's trajectory since 2011. Questioning widely held assumptions about the role of Libya's tribes in the revolution, Wolfram Lacher shows how war transformed pre-existing social structures and explains why Khalifa Haftar has been able to consolidate his sway over the northeast. Based on hundreds of interviews with key actors in the conflict, Lacher advances a new approach to the study of civil wars, placing the social ties of actors at the centre of analysis and exploring the link between violent conflict and social cohesion.

Book excerpt: City-country consolidation builds upon the Progressive tradition of favoring structural reform of local governments. This volume looks at some important issues confronting contemporary efforts to consolidate governments and develops a theoretical approach to understanding both the motivations for pursuing consolidation and the way the rules guiding the process shape the outcome. Individual chapters consider the push for city-county consolidation and the current context in which such decisions are debated, along with several alternatives to city-county consolidation. The transaction costs of city-county consolidation are compared against the costs of municipal annexation, inter-local agreements, and the use of special district governments to achieve the desired consolidation of services. The final chapters compare competing perspectives for and against consolidation and put together some of the pieces of an explanatory theory of local government consolidation.

Book excerpt: Agricultural landholdings in China have an average size of only 0.53 hectares and are divided over six different plots on average. This very high degree of land fragmentation is likely to impose important constraints to current government policies aimed at supporting the incomes of rural households, raising domestic grain production, and promoting the overall production capacity of agricultural sector in order to meet the challenges posed by foreign competition. The purpose of this study is to examine the causes of this extremely high degree of land fragmentation and its consequences for food production in China. The analysis focuses in particular on rice smallholders in Jiangxi Province, a major rice production base of China.

The research upon which this book is based was founded on conversations between two of its authors, W. E. Lyons and David Lowery, during the early 1980s.

This book is the first comprehensive examination of the causes and consequences of special-purpose governments in more than 300 metropolitan areas in the United States. It presents new evidence on the economic, political, and social implications of relying on these special districts while offering important findings about their use and significance.

Book excerpt: Recognition of the potentially deleterious implications of inequality in opportunity originating in a skewed asset distribution has spawned considerable interest in land reforms. However, little attention has been devoted to the fact that, in the longer-term, the measures used to implement land reforms, especially rental restrictions, could negatively affect productivity. Use of state level data on rental restrictions, together with a nationally representative survey from India suggests that, contrary to original intentions, rental restrictions negatively affect productivity and equity by reducing scope for efficiency-enhancing rental transactions that benefit poor producers. Simulations suggest that, by doubling the number of producers with access to land through rental, from about 15 million currently, liberalization of rental markets could have far-reaching impacts.

Available in PDF, EPUB and Kindle. Book excerpt: Creating metropolitan regions that are more efficient, equitable, and sustainable depends on the willingness of local officials to work together across municipal boundaries to solve large-scale problems. How do these local officials think? Why do they only sometimes cooperate? What kind of governance do they choose in the face of persistent problems? The Risk of Regional Governance offers a new perspective on these questions. Drawing on theory from sociology and anthropology, it argues that many of the most important cooperative decisions local officials make—those about land use planning and regulation—are driven by heuristic, biased reasoning driven by cultural values. The Risk of Regional Governance builds a sociocultural collective action framework, and supports it with rich survey and interview data from hundreds of local elected officials serving in the suburbs of Detroit and Grand Rapids, Michigan. It is a story of the Rust Belt, of how local officials think about their community and the region, and—most importantly—of how we might craft policies that can overcome biases against regional governance.
