Book Synopsis The Anatomy of Corporate Law by : Reinier Kraakman
Download or read book The Anatomy of Corporate Law written by Reinier Kraakman and published by OUP Oxford. This book was released on 2009-07-23 with total page 578 pages. Available in PDF, EPUB and Kindle. Book excerpt: This is the long-awaited second edition of this highly regarded comparative overview of corporate law. This edition has been comprehensively updated to reflect profound changes in corporate law. It now includes consideration of additional matters such as the highly topical issue of enforcement in corporate law, and explores the continued convergence of corporate law across jurisdictions. The authors start from the premise that corporate (or company) law across jurisdictions addresses the same three basic agency problems: (1) the opportunism of managers vis-à-vis shareholders; (2) the opportunism of controlling shareholders vis-à-vis minority shareholders; and (3) the opportunism of shareholders as a class vis-à-vis other corporate constituencies, such as corporate creditors and employees. Every jurisdiction must address these problems in a variety of contexts, framed by the corporation's internal dynamics and its interactions with the product, labor, capital, and takeover markets. The authors' central claim, however, is that corporate (or company) forms are fundamentally similar and that, to a surprising degree, jurisdictions pick from among the same handful of legal strategies to address the three basic agency issues. This book explains in detail how (and why) the principal European jurisdictions, Japan, and the United States sometimes select identical legal strategies to address a given corporate law problem, and sometimes make divergent choices. After an introductory discussion of agency issues and legal strategies, the book addresses the basic governance structure of the corporation, including the powers of the board of directors and the shareholders meeting. It proceeds to creditor protection measures, related-party transactions, and fundamental corporate actions such as mergers and charter amendments. Finally, it concludes with an examination of friendly acquisitions, hostile takeovers, and the regulation of the capital markets.

Book Synopsis Global Business Regulation by : John Braithwaite
Download or read book Global Business Regulation written by John Braithwaite and published by Cambridge University Press. This book was released on 2000-02 with total page 724 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book confronts the question of how the regulation of business has shifted from national to global institutions. Based on interviews with 500 international leaders in business and government, this book examines the role played by global institutions such as the WTO, IMF and the World Bank, as well as various NGOs and significant individuals. The authors argue that effective and decent global regulation depends on the determination of individuals to engage with powerful agendas and decision-making bodies that would otherwise be dominated by concentrated economic interests.

Book excerpt: The history of Achaemenid Persia ù the empire of Cyrus the Great, Darius and Xerxes ù has largely been rewritten in the last thirty years. Inspired by new sources of information, and by a determination to see Persia in its own terms, historians have created a powerful new image of the Persian Empire: tightly organised and resilient, tolerant towards the religions and cultures of its subject peoples, and with kings and queens whose concerns were pragmatic rather than whimsically despotic.

Book Synopsis How the Other Half Banks by : Mehrsa Baradaran
Download or read book How the Other Half Banks written by Mehrsa Baradaran and published by Harvard University Press. This book was released on 2015-10-06 with total page 337 pages. Available in PDF, EPUB and Kindle. Book excerpt: The United States has two separate banking systems today—one serving the well-to-do and another exploiting everyone else. How the Other Half Banks contributes to the growing conversation on American inequality by highlighting one of its prime causes: unequal credit. Mehrsa Baradaran examines how a significant portion of the population, deserted by banks, is forced to wander through a Wild West of payday lenders and check-cashing services to cover emergency expenses and pay for necessities—all thanks to deregulation that began in the 1970s and continues decades later. “Baradaran argues persuasively that the banking industry, fattened on public subsidies (including too-big-to-fail bailouts), owes low-income families a better deal...How the Other Half Banks is well researched and clearly written...The bankers who fully understand the system are heavily invested in it. Books like this are written for the rest of us.” —Nancy Folbre, New York Times Book Review “How the Other Half Banks tells an important story, one in which we have allowed the profit motives of banks to trump the public interest.” —Lisa J. Servon, American Prospect

Book Synopsis Collective Actions by : Stefan Wrbka
Download or read book Collective Actions written by Stefan Wrbka and published by Cambridge University Press. This book was released on 2012-04-30 with total page 457 pages. Available in PDF, EPUB and Kindle. Book excerpt: This volume of essays draws together research on different types of collective actions: group actions, representative actions, test case procedures, derivative actions and class actions. The main focus is on how these actions can enhance access to justice and on how to balance the interests of private actors in protecting their rights with the interests of society as a whole. Rather than focusing on collective actions only as a procedural device per se, the contributors to this book also examine how these mechanisms relate to their broader social context. Bringing together a broad range of scholarship from the areas of competition, consumer, environmental, company and securities law, the book includes contributions from Asian, European and North American scholars and therefore expands the scope of the traditional European and/or American debate.

Book Synopsis China and US Foreign Investment Laws and Practices by : Liu Ziyu
Download or read book China and US Foreign Investment Laws and Practices written by Liu Ziyu and published by Taylor & Francis. This book was released on 2024-11-08 with total page 152 pages. Available in PDF, EPUB and Kindle. Book excerpt: The book is a comparative study of the national security review of foreign investment laws in China and the US. The author establishes a theoretical framework to explain the dominant role of ideas on national security and foreign investment rooted in China and the US, as well as the oriented role of China-US investment interaction. She concludes that it is difficult for China and the US to reach a consensus on national security review due to their different internal ideas on national security and foreign investment. By comparing the similarities and differences in the development of national security review in China and the US, she also proposes a feasible approach to facilitate bilateral investment practices. The book will attract scholars of international economic law, investment law, and Sino-US relations.

Book Synopsis States, Markets and Regimes in Global Finance by : Tony Porter
Download or read book States, Markets and Regimes in Global Finance written by Tony Porter and published by Springer. This book was released on 2016-07-27 with total page 231 pages. Available in PDF, EPUB and Kindle. Book excerpt: Building upon a wide range of literatures this book argues that international regulatory institutions become stronger when oligopolistic institutional arrangements decay and competitive pressures intensify. This is shown to be the case for global finance by careful studies of two inter-state institutions, the Basle Committee on Banking Supervision and the International Organization of Securities Commissions, and of the international banking and securities industries which they seek to regulate.
